Additional Member Purchase of Interests. The Members may purchase in proportionate amounts additional interests deemed necessary for the operation of the Company, provided that in the event any Member declines, refuses or fails to purchase the Member's proportionate share of any or all of the additional interests, this Agreement is to be amended pursuant to the procedures in this Agreement to reflect that Member's proportionate decrease in Member interests, and to reflect the proportionate increase in Member interests of those Members who pay their proportionate share, or who, individually or collectively, elect to pay the share of those Members declining, refusing or failing to pay the additional interests.

  • Additional Members One or more additional members may be admitted to the Company with the consent of the Member. Prior to the admission of any such additional members to the Company, the Member shall amend this Agreement to make such changes as the Member shall determine to reflect the fact that the Company shall have such additional members. Each additional member shall execute and deliver a supplement or counterpart to this Agreement, as necessary.

  • Membership Interests The Sole Member currently owns one hundred percent (100%) of the percentage interests in the Company.

  • Task Order Funding Restrictions No unfunded TOs are allowed; TOs may be incrementally funded in accordance with FAR and other agency funding restrictions. The Contracting Officer for each order is responsible for closing out the contract action that they issue. Notification that a closeout of an order is complete must be provided to the Procuring Contracting Officer (the Basic Contract) once accomplished. The contractor shall work in partnership with the Government to closeout orders as soon as possible after they are physically complete by using the "Quick Closeout" procedures described in FAR 42.708 as much as practical. In accordance with section 1427(b) of Public Law 108-136 a protest is not authorized in connection with the issuance or proposed issuance of an individual TO except a protest on the grounds that the order increases the scope, period, or maximum value of the contract under which the order is issued; or a protest of an order valued in excess of $10 million. Protests of orders in excess of $10 million may only be filed with the Government Accountability Office, in accordance with the procedures at FAR 33.104.   • New Members No person may be admitted as a member of the Company without the approval of the Member.

  • Timber Designations Timber designated for cutting shall be confined to Sale Area, except as provided in B2.131, B2.14, B2.15, B2.32, and B5.1. Sale Area Map indicates subdivisions, if any, where Marking under B2.35 is to be done after timber sale advertisement, except for construction clearing under B2.32, minor changes under B2.37, and damaged timber. The boundaries of Clearcutting Units, Overstory Re- moval Units, and Understory Removal Units were plainly Marked on ground before timber sale advertisement and are shown on Sale Area Map. Boundary trees shall not be cut. The number of units and approximate acreage of timber designations are stated in A3.

  • Annual Membership Fee You agree to pay in advance a nonrefundable annual membership fee shown on page 1, whether or not you use your Card or Credit Card account. The fee will be charged on a periodic statement shortly after you open your Credit Card account and after that in the same month every year. We reserve the right to waive all or a portion of the annual fee.

  • Payment and Transfer of Interest Buyer shall pay interest on cash held as Performance Assurance, at the Interest Rate and on the Interest Payment Date. Buyer will transfer to Seller all accrued Interest Amount on the unused cash Performance Assurance in the form of cash by wire transfer to the bank account specified under “Wire Transfer” in Appendix X (Notices).

  • Transfer of Membership Interest The Sole Member may Transfer any part or all of its rights and interest (including, but not limited to, its Capital Account) in the Company (each a “Membership Interest”) now owned or hereafter acquired to any Person, and the transferee of such Membership Interest shall become a Member of the Company.

  • Admission of Additional Members One or more additional members of the Company may be admitted to the Company with the written consent of the Member.
