Common use of Additional Obligations of the Contractor Clause in Contracts

Additional Obligations of the Contractor. In addition to its other obligations hereunder, the Contractor shall: (a) Conduct the Petroleum Activities continuously and efficiently in accordance with the Exploration Plan, the Development Plan, the Work Programs approved by CNH and Industry Best Practices, as well as all other terms and conditions of this Contract, the Management System and the Applicable Laws; (b) Conduct, under its own responsibility, the Extraction, Gathering and displacement of Hydrocarbons at the Measurement Point; (c) Supply all personnel and all technical, financial and other resources of any other kind necessary to conduct the Petroleum Activities; (d) Obtain from any Governmental Authority on a timely basis all the permits needed to carry out the Petroleum Activities; (e) Acquire on a timely basis all the Materials required for the Petroleum Activities and ensure that they are adequate for their purpose; (f) Each of the Participating companies shall be up to date on all of its Tax Obligations as established in the Applicable Laws, be a resident of Mexico for tax purposes, have as it sole purpose the Exploration and Extraction of Hydrocarbons and not pay taxes under the optional tax regime for groups of companies referenced in Chapter VI of Title II of the Income Tax Law; (g) Provide to CNH with all information, data and interpretations related to the Petroleum Activities, such as scientific and technical data obtained as a result of its work, including electrical, sonic and radioactivity profiles, among others; seismic tapes and lines; samples from Xxxxx; cores and formations; maps and topographic, geological, geophysical, geochemical and drilling reports, and any other similar information and geological, geophysical and reservoir appraisal reports; (h) Keep within Mexico complete records of all the Petroleum Activities conducted under this Contract; (i) Provide CNH all the information related to the existence of mineral, hydrological and other resources discovered as a result of the Petroleum Activities; (j) Refrain from drilling from the Contract Area any Well that could go beyond the vertical projection of the Contract Area except in the case of unitized reservoirs in accordance with instructions established by the Ministry of Energy; (k) Identify each Well in accordance with the Applicable Laws and include that reference in all maps, drawings and other similar records kept by the Contractor; (l) Adequately plug Xxxxx prior to their abandonment so as to avoid pollution, damage to the environment or possible damage to Hydrocarbon deposits; (m) Allow and assist the representatives of the Agency, CNH, the Ministry of Finance and of any other authority to carry out the inspections of the Petroleum Activities and of all facilities, offices, accounting books and records and any other information related to the Petroleum Activities, and provide such representatives, free of charge, with the necessary assistance to exercise their attributions under this Contract, including (in the case of Field operations) transportation, housing, meals and other services, under the same conditions as provided by the Contractor to its own personnel; (n) Comply with requests for information from the competent authorities, including CNH, the Agency, the Ministry of Energy, the Ministry of Finance and the Fund; (o) Ensure that Hydrocarbons discovered in the Contract Area are not spilled or otherwise wasted in any other manner, and avoid damage to strata containing Hydrocarbons and those containing water deposits; (p) Use qualified personnel and state-of-the-art Materials and technology according to Industry Best Practices; (q) Implement, and ensure that the Subcontractors implement, appropriate measures to protect life, archaeological discoveries and the environment in accordance with the Management System and the Applicable Laws; (r) Implement the emergency response plans provided in the Management System of any emergency situation and Act of God or Force Majeure event (including explosions, ruptures, leaks or other accidents that cause or may cause damage to the environment or threaten or may threaten personal safety or health) in order to mitigate their effects, and inform the Agency and CNH in appropriate detail of the emergency and the measures taken with respect thereto; (s) Each of the Participating Companies shall immediately inform CNH of any judicial or administrative proceedings involving the Contractor which relate to this Contract or the Petroleum Activities; (t) Implement all necessary measures to prevent or reduce losses, mitigate and remedy any damage caused by the Petroleum Activities, and (u) Maintain, upon its termination, at least the same financial, expertise, technical and execution conditions in which the Contractor signed the Contract upon its termination.

(d) Obtain on a timely basis from any Governmental Authority on a timely basis all the permits needed to carry out the Petroleum Activities; (e) Acquire Obtain on a timely basis all the Materials required for the Petroleum Activities and ensure that they are adequate for their purpose; (g) Provide to the CNH with all information, data and interpretations related to the Petroleum Activities, such as scientific and technical data obtained as a result of its work, including electrical, sonic and radioactivity profiles, among others; seismic tapes and lines; samples from Xxxxx; , cores and formations; maps and topographic, geological, geophysical, geochemical and drilling reports, and any other similar information and geological, geophysical and reservoir appraisal reports; (h) Keep within Mexico complete records records, in physical and electronic format, of all the Petroleum Activities conducted under this Contract; (i) Have the proper certification of the quantification of Reserves corresponding to the Contract Area in accordance with the Applicable Laws; (j) Provide the CNH with all the information related to on the existence of mineral, hydrological and other resources discovered as a result of the Petroleum Activities; (jk) Refrain from drilling from any Well in the Contract Area any Well that could go beyond the vertical projection of the Contract Area except in the case of unitized reservoirs in accordance with instructions established as instructed by the Ministry of Energy; (kl) Identify each Well in accordance with the Applicable Laws and include that reference in all maps, drawings and other similar records kept by the Contractor; (lm) Adequately plug Xxxxx prior to their abandonment Abandonment so as to avoid pollution, damage to the environment or possible damage to Hydrocarbon depositsdeposits in accordance with the Management System and the Applicable Laws; (p) Use qualified personnel and state-of-the-art Materials and technology according to Industry Best Practices; (q) Implement, and ensure that the Subcontractors implement, appropriate measures to protect life, archaeological discoveries and the environment in accordance with the Management System and the Applicable Laws; (r) Implement the emergency response plans provided in the Management System to mitigate the effects of any emergency situation and Act of God or Force Majeure event (including explosions, ruptures, leaks or other accidents that cause or may cause damage to the environment or threaten or may threaten personal the safety or healthhealth of Persons) in order to mitigate their effects, and as well as inform the Agency and the CNH in appropriate detail of the emergency and the measures taken with respect thereto; (s) Each of Inform the Participating Companies shall immediately inform CNH of any judicial or administrative proceedings involving the Contractor in which relate it is involved, and that is related to this Contract or the Petroleum Activities, except from those initiated before Federal courts, which shall be immediately informed to the CNH; (t) Implement all necessary measures to prevent or reduce losses, mitigate and remedy any damage caused by the Petroleum Activities, and (u) Maintain, upon its termination, Maintain at least the same financial, expertiseexperience, technical and execution conditions that were provided in which the Bidding Guidelines for prequalification until the termination of this Contract, with the exception of the minimum net worth that the Contractor signed credited as an interested party in terms of the Contract upon its terminationBidding Guidelines. In such case, the minimum yearly average net worth that shall be maintained must be equivalent to the minimum average net worth amount required during the prequalification stage in the Bidding Process.

In addition to its the other obligations hereunder, the Contractor shall: (a) Conduct the Petroleum Activities continuously and efficiently in accordance with the Exploration Plan, the Development PlanAppraisal Program, the Work Programs approved by CNH Development Plan and the Industry Best Practices, as well as all other terms and conditions of this Contract, the Management System and the Applicable Laws; (b) ConductCarry out, under on its own responsibility, the Extraction, Gathering and displacement of Hydrocarbons at to the Measurement Point; (c) Supply all personnel and all technical, financial and other resources of any other kind necessary to conduct the Petroleum Activities; (d) Obtain on a timely basis from any Governmental Authority on a timely basis all the permits needed to carry out the Petroleum Activities; (e) Acquire Obtain on a timely basis all the Materials required for the Petroleum Activities and ensure that they are adequate for their purpose; (f) Each of the Participating companies Signing Companies shall be up to date on all of its Tax Obligations as established in the Applicable Laws, be a resident of Mexico for tax purposes, have as it sole purpose the Exploration and Extraction of Hydrocarbons and those necessary for its adequate fulfillment, and must not pay taxes under the optional tax regime for groups of companies referenced in Chapter VI of Title II of the Income Tax Law; (g) Provide to the CNH with all information, data and interpretations related to the Petroleum Activities, such as scientific and technical data obtained as a result of its work, including electrical, sonic and radioactivity profiles, among others; seismic tapes and lines; samples from Xxxxx; , cores and formations; maps and topographic, geological, geophysical, geochemical and drilling reports, and any other similar information and geological, geophysical and reservoir appraisal reports; (h) Keep within Mexico complete records records, in physical and electronic format, of all the Petroleum Activities conducted under this Contract; (i) Have the proper certification of the quantification of Reserves corresponding to the Contract Area in accordance with the Applicable Laws; (j) Provide the CNH with all the information related to on the existence of mineral, hydrological and other resources discovered as a result of the Petroleum Activities; (jk) Refrain from drilling from any Well in the Contract Area any Well that could go beyond the vertical projection of the Contract Area except in the case of unitized reservoirs in accordance with instructions established as instructed by the Ministry of Energy; (kl) Identify each Well in accordance with the Applicable Laws and include that reference in all maps, drawings and other similar records kept by the Contractor; (lm) Adequately plug Xxxxx prior to their abandonment Abandonment so as to avoid pollution, damage to the environment or possible damage to Hydrocarbon depositsdeposits in accordance with the Management System and the Applicable Laws; (mn) Allow and assist the Facilitate inspections by representatives of the Agency, the CNH, the Ministry of Finance and of any other authority to carry out the inspections of the Petroleum Activities and of all facilities, offices, accounting books and records and any other information related to the Petroleum Activities, and provide such representatives, free of chargeat no cost, with all the necessary assistance to exercise their attributions entitlements under this Contract, including (in the case of Field operations) transportation, housing, meals and other services, under on the same conditions as provided by the Contractor to its own personnel; (no) Comply with requests for information from the competent authorities, including the CNH, the Agency, the Ministry of Energy, the Ministry of Finance and the Fund; (o) Ensure that Hydrocarbons discovered in the Contract Area are not spilled or otherwise wasted in any other manner, and avoid damage to strata containing Hydrocarbons and those containing water deposits; (p) Use qualified personnel and state-of-the-art Materials and technology according to Industry Best Practices; (q) Implement, and ensure that the Subcontractors implement, appropriate measures to protect life, archaeological discoveries and the environment in accordance with the Management System and the Applicable Laws; (r) Implement the emergency response plans provided in the Management System to mitigate the effects of any emergency situation and Act of God or Force Majeure event (including explosions, ruptures, leaks or other accidents that cause or may cause damage to the environment or threaten or may threaten personal the safety or healthhealth of Persons) in order to mitigate their effects, and as well as inform the Agency and the CNH in appropriate detail of the emergency and the measures taken with respect thereto; (s) Each of Every six months, the Participating Companies Contractor shall immediately inform the CNH of any judicial or administrative proceedings involving the Contractor which relate to this Contract or the Petroleum Activities, except from those procedures initiated before Federal courts, which shall be immediately informed to the CNH; (t) Implement all necessary measures to prevent or reduce losses, mitigate and remedy any damage caused by the Petroleum Activities, and (u) MaintainABC, upon its termination, DEF and XYZ shall maintain at least the same financial, expertiseexperience, technical and execution conditions that were demonstrated in which the Contractor signed Bidding Guidelines for prequalification until the Contract upon its terminationtermination of this Contract, with the exception of the minimum net worth credited as an interested party in terms of the Bidding Guidelines. In such case, the minimum yearly average net worth that shall be maintained must be equivalent to the minimum average net worth amount required during the prequalification stage in the Bidding Process.

Additional Obligations of the Contractor. (d) Obtain on a timely basis from any Governmental Authority on a timely basis all the permits needed to carry out the Petroleum Activities; (e) Acquire Obtain on a timely basis all the Materials required for the Petroleum Activities and ensure that they are adequate for their purpose; (f) Each of the Participating companies shall Companies must be up to date on regarding all of its Tax Obligations as established in the Applicable Laws, be a resident of Mexico for tax purposes, have as it sole purpose the Exploration and Extraction of Hydrocarbons and not pay taxes under the optional tax regime for groups of companies referenced in Chapter VI of Title II of the Income Tax Law; (m) Allow and assist the Facilitate inspections by representatives of the Agency, CNH, the Ministry of Finance and of by any other authority to carry out the inspections of the Petroleum Activities and of all facilities, offices, accounting books and records and any other information related to the Petroleum Activities, and provide such representatives, free of charge, with all the necessary assistance to exercise their attributions entitlements under this Contract, including (in the case of Field operations) transportation, housing, meals and other services, under on the same conditions as provided by the Contractor to its own personnel; (n) Comply with information requests for information from the competent related authorities, including CNH, the Agency, the Ministry of Energy, the Ministry of Finance and the Fund; (o) Ensure that Hydrocarbons discovered in the Contract Area Fields are not spilled or otherwise wasted in any other manner, and avoid damage to strata containing Hydrocarbons and those containing water deposits; (p) Use qualified personnel and state-of-the-art Materials and technology according to in accordance with Industry Best Practices; (q) Implement, Implement and ensure that the Subcontractors implement, implement appropriate measures to protect life, archaeological discoveries and the environment in accordance with the Management System and the Applicable Laws; (r) Implement the emergency response plans provided in the Management System in order to mitigate the effects of any emergency situation and Act of God or Force Majeure event (including explosions, ruptures, leaks or other accidents that cause or may cause damage to the environment or threaten or may threaten personal the safety or healthhealth of Persons) in order to mitigate their effects, and as well as inform the Agency and CNH in appropriate detail of the emergency and the measures taken with respect thereto; (s) Each of the Participating Companies shall immediately inform CNH of any judicial or administrative proceedings involving the Contractor which relate to this Contract or the Petroleum Activities; (t) Implement all necessary measures to prevent or reduce losses, mitigate and remedy any damage caused by the Petroleum Activities, and (u) Maintain, upon its termination, Maintain at least the same financial, expertiseexperience, technical and execution conditions in with which the Contractor signed the Contract upon until its termination, with the exception the minimum net worth that the Contractor credited as an interested party in terms of the Bidding Guidelines. In such case, the minimum yearly average net worth that shall be maintained must be equivalent to the minimum average net worth amount credited during the prequalification stage in the Bidding Process.

Additional Obligations of the Contractor. In addition to its the other obligations hereunder, the Contractor shall: (a) Conduct the Petroleum Activities continuously and efficiently in accordance with the Exploration Plan, the Development Appraisal Plan, the Work Programs approved by CNH Development Plan and the Industry Best Practices, as well as all other terms and conditions of this Contract, the Management System and the Applicable Laws; (b) ConductCarry out, under on its own responsibility, the Extraction, Gathering and displacement of Hydrocarbons at to the Measurement Point; (c) Supply all personnel and all technical, financial and other resources of any other kind necessary to conduct the Petroleum Activities; (d) Obtain on a timely basis from any Governmental Authority on a timely basis all the permits needed to carry out the Petroleum Activities; (e) Acquire Obtain on a timely basis all the Materials required for the Petroleum Activities and ensure that they are adequate for their purpose; (f) Each of the Participating companies Signing Companies shall be up to date on all of its Tax Obligations as established in the Applicable Laws, be a resident of Mexico for tax purposes, have as it sole purpose the Exploration and Extraction of Hydrocarbons and those necessary for its adequate fulfillment, and must not pay taxes under the optional tax regime for groups of companies referenced in Chapter VI of Title II of the Income Tax Law; (g) Provide to the CNH with all information, data and interpretations related to the Petroleum Activities, such as scientific and technical data obtained as a result of its work, including electrical, sonic and radioactivity profiles, among others; seismic tapes and lines; samples from Xxxxx; , cores and formations; maps and topographic, geological, geophysical, geochemical and drilling reports, and any other similar information and geological, geophysical and reservoir appraisal reports; (h) Keep within Mexico complete records records, in physical and electronic format, of all the Petroleum Activities conducted under this Contract; (i) Have the proper certification of the quantification of Reserves corresponding to the Contract Area in accordance with the Applicable Laws; (kl) Identify each Well in accordance with the Applicable Laws and include that reference in all maps, drawings and other similar records kept by the Contractor; (lm) Adequately plug Xxxxx prior to their abandonment Abandonment so as to avoid pollution, damage to the environment or possible damage to Hydrocarbon depositsdeposits in accordance with the Management System and the Applicable Laws; (mn) Allow and assist the Facilitate inspections by representatives of the Agency, the CNH, the Ministry of Finance and of any other authority to carry out the inspections of the Petroleum Activities and of all facilities, offices, accounting books and records and any other information related to the Petroleum ActivitiesTechnical Information, and provide such representatives, free of chargeat no cost, with all the necessary assistance to exercise their attributions entitlements under this Contract, including (in the case of Field operations) transportation, housing, meals and other services, under on the same conditions as provided by the Contractor to its own personnel; (no) Comply with requests for information from the competent authorities, including the CNH, the Agency, the Ministry of Energy, the Ministry of Finance and the Fund; (o) Ensure that Hydrocarbons discovered in the Contract Area are not spilled or otherwise wasted in any other manner, and avoid damage to strata containing Hydrocarbons and those containing water deposits; (p) Use qualified personnel and state-of-the-art Materials and technology according to Industry Best Practices; (q) Implement, and ensure that the Subcontractors implement, appropriate measures to protect life, archaeological discoveries and the environment in accordance with the Management System and the Applicable Laws; (r) Implement the emergency response plans provided in the Management System to mitigate the effects of any emergency situation and Act of God or Force Majeure event (including explosions, ruptures, leaks or other accidents that cause or may cause damage to the environment or threaten or may threaten personal the safety or healthhealth of Persons) in order to mitigate their effects, and as well as inform the Agency and the CNH in appropriate detail of the emergency and the measures taken with respect thereto; (s) Each of Every six months, the Participating Companies Contractor shall immediately inform the CNH of any judicial or administrative proceedings involving the Contractor which relate to this Contract or the Petroleum Activities, except from those procedures initiated before Federal courts, which shall be immediately informed to the CNH; (hg) Keep within Mexico complete records of all the Petroleum Activities conducted under this Contract; (ih) Provide CNH with all the information related to on the existence of mineral, hydrological and other resources discovered as a result of the Petroleum Activities; (ji) Refrain from drilling from any Well in the Contract Area any Well that could go beyond the vertical projection of the Contract Area except in the case of unitized reservoirs areas in accordance with instructions established by the Ministry of Energy; (ml) Allow and assist the in inspections by representatives of the Agency, CNH, the Ministry of Finance and of any other authority to carry out the inspections of the Petroleum Activities and of all facilities, offices, accounting books and records and any other information related to the Petroleum Activities, and provide such representatives, free of charge, with all the necessary assistance to exercise their attributions rights under this Contract, including (in the case of Field operations) transportation, housing, meals and other services, under on the same conditions as provided by the Contractor to its own personnel; (nm) Comply with requests for information from the competent related authorities, including CNH, the Agency, the Ministry of Energy, the Ministry of Finance and the Fund; (on) Ensure that Hydrocarbons discovered in the Contract Area are not spilled or otherwise wasted in any other manner, and avoid damage to strata containing Hydrocarbons and those containing water deposits; (po) Use qualified personnel and state-of-the-art Materials and technology according to Industry Best Practices; (qp) Implement, and ensure that the Subcontractors implement, appropriate measures to protect life, archaeological discoveries and the environment in accordance with the Management System and the Applicable Laws; (rq) Implement the emergency response plans provided in the Management System to mitigate the effects of any emergency situation and Act of God or Force Majeure event (including explosions, ruptures, leaks or other accidents that cause or may cause damage to the environment or threaten or may threaten personal safety or health) in order to mitigate their effects, and as well as inform the Agency and CNH in appropriate detail of the emergency and the measures taken with respect thereto; (sr) Each of the Participating Companies shall immediately Immediately inform CNH of any judicial or administrative proceedings involving the Contractor which relate to this Contract or the Petroleum Activities;, and (ts) Implement all necessary measures to prevent or reduce losses, mitigate and remedy any damage caused by the Petroleum Activities, and (u) Maintain, upon its termination, at least the same financial, expertise, technical and execution conditions in which the Contractor signed the Contract upon its termination.

Additional Obligations of the Contractor. In addition to its other obligations hereunder, the Contractor shall: (a) Conduct the Petroleum Activities continuously and efficiently in accordance with the Exploration Plan, the Development Plan, the Work Programs approved by CNH and Industry Best Practices, as well as all other terms and conditions of this Contract, the Management System and the Applicable Laws; (b) Conduct, under its own responsibility, the Extraction, Gathering and displacement of Hydrocarbons at the Measurement Point; (c) Supply all personnel and all technical, financial and other resources of any other kind necessary to conduct the Petroleum Activities; (d) Obtain from any Governmental Authority on a timely basis all the permits needed to carry out the Petroleum Activities; (e) Acquire on a timely basis all the Materials required for the Petroleum Activities and ensure that they are adequate for their purpose; (f) Each of the Participating companies shall be up to date on all of its Tax Obligations as established in the Applicable Laws, be a resident of Mexico for tax purposes, have as it sole purpose the Exploration and Extraction of Hydrocarbons and not pay taxes under the optional tax regime for groups of companies referenced in Chapter VI of Title II of the Income Tax Law; (g) Provide to CNH with all information, data and interpretations related to the Petroleum Activities, such as scientific and technical data obtained as a result of its work, including electrical, sonic and radioactivity profiles, among others; seismic tapes and lines; samples from Xxxxx; , cores and formations; maps and topographic, geological, geophysical, geochemical and drilling reports, and any other similar information and geological, geophysical and reservoir appraisal reports; (h) Keep within Mexico complete records of all the Petroleum Activities conducted under this Contract; (i) Provide CNH all the information related to the existence of mineral, hydrological and other resources discovered as a result of the Petroleum Activities; (j) Refrain from drilling from in the Contract Area any Well that could go beyond the vertical projection of the Contract Area except in the case of unitized reservoirs in accordance with instructions established by the Ministry of Energy; (k) Identify each Well in accordance with the Applicable Laws and include that reference in all maps, drawings and other similar records kept by the Contractor; (l) Adequately plug Xxxxx prior to their abandonment so as to avoid pollution, damage to the environment or possible damage to Hydrocarbon deposits; (m) Allow and assist the in inspections performed by representatives of the Agency, CNH, the Ministry of Finance and of any other authority to carry out the inspections of the Petroleum Activities and of all facilities, offices, accounting books and records and any other information related to the Petroleum Activities, and provide such representatives, free of charge, with the necessary assistance to exercise their attributions under this Contract, including (in the case of Field operations) transportation, housing, meals and other services, under the same conditions as provided by the Contractor to its own personnel; (n) Comply with requests for information from the competent related authorities, including CNH, the Agency, the Ministry of Energy, the Ministry of Finance and the Fund; (o) Ensure that Hydrocarbons discovered in the Contract Area are not spilled or otherwise wasted in any other manner, and avoid damage to strata containing Hydrocarbons and those containing water deposits; (p) Use qualified personnel and state-of-the-art Materials and technology according to Industry Best Practices; (q) Implement, and ensure that the Subcontractors implement, appropriate measures to protect life, archaeological discoveries and the environment in accordance with the Management System and the Applicable Laws; (r) Implement the emergency response plans provided in the Management System to mitigate the effects of any emergency situation and Act of God or Force Majeure event (including explosions, ruptures, leaks or other accidents that cause or may cause damage to the environment or threaten or may threaten personal safety or health) in order to mitigate their effects, and inform the Agency and CNH in appropriate detail of the emergency and the measures taken with respect thereto; (s) Each of the Participating Companies shall immediately inform CNH of any judicial or administrative proceedings involving the Contractor which relate to this Contract or the Petroleum Activities; (t) Implement all necessary measures to prevent or reduce losses, mitigate and remedy any damage caused by the Petroleum Activities, and (u) Maintain, upon its termination, at least the same financial, expertise, technical and execution conditions in which the Contractor signed the Contract upon its termination.

(no) Comply with requests for information from the competent authorities, including CNH, the Agency, the Ministry of Energy, the Ministry of Finance and the Fund; (op) Ensure that Hydrocarbons discovered in the Contract Area are not spilled or otherwise wasted in any other manner, and avoid damage to strata containing Hydrocarbons and those containing water deposits; (pq) Use qualified personnel and state-of-the-art Materials and technology according to Industry Best Practices; (qr) Implement, and ensure that the Subcontractors implement, appropriate measures to protect life, archaeological discoveries and the environment in accordance with the Management System and the Applicable Laws; (rs) Implement the emergency response plans provided in the Management System to mitigate the effects of any emergency situation and Act of God or Force Majeure event (including explosions, ruptures, leaks or other accidents that cause or may cause damage to the environment or threaten or may threaten personal the safety or healthhealth of Persons) in order to mitigate their effects, and as well as inform the Agency and CNH in appropriate detail of the emergency and the measures taken with respect thereto; (st) Each of the Participating Companies shall immediately inform CNH of any judicial or administrative proceedings involving the Contractor which relate to this Contract or the Petroleum Activities; (tu) Implement all necessary measures to prevent or reduce losses, mitigate and remedy any damage caused by the Petroleum Activities, and (uv) Maintain, upon its termination, Maintain at least the same financial, expertiseexperience, technical and execution conditions in with which the Contractor signed the Contract upon until its termination, with the exception the minimum net worth that the Contractor credited as an interested party in terms of the Bidding Guidelines. In such case, the minimum yearly average net worth that shall be maintained must be equivalent to the minimum average net worth amount required during the prequalification stage in the Bidding Process.

Additional Obligations of the Contractor. In addition to its other obligations hereunder, the Contractor shall: (a) Conduct the Petroleum Activities continuously and efficiently in accordance with the Exploration Appraisal Plan, the Development Plan, the Work Programs approved by CNH and Industry Best Practices, as well as all other terms and conditions of this Contract, the Management System and the Applicable Laws; (b) ConductCarry out, under its own responsibility, the Extraction, Gathering and displacement of Hydrocarbons at to the Measurement Point; (c) Supply all personnel and all technical, financial and other resources of any other kind necessary to conduct the Petroleum Activities; (d) Obtain on a timely basis from any Governmental Authority on a timely basis all the permits needed to carry out the Petroleum Activities; (e) Acquire Obtain on a timely basis all the Materials required for the Petroleum Activities and ensure that they are adequate for their purpose; (f) Each of the Participating companies shall be Be up to date on regarding all of its Tax Obligations as established in the Applicable Laws, be a resident of Mexico for tax purposes, have as it sole purpose the Exploration and Extraction of Hydrocarbons and not pay taxes under the optional tax regime for groups of companies referenced in Chapter VI of Title II of the Income Tax Law; (g) Provide to CNH with all information, data and interpretations related to the Petroleum Activities, such as scientific and technical data obtained as a result of its work, including electrical, sonic and radioactivity profiles, among others; seismic tapes and lines; samples from Xxxxx; , cores and formations; maps and topographic, geological, geophysical, geochemical and drilling reports, and any other similar information and geological, geophysical and reservoir appraisal reports; (h) Keep within Mexico complete records of all the Petroleum Activities conducted under this Contract; (i) Provide CNH with all the information related to on the existence of mineral, hydrological and other resources discovered as a result of the Petroleum Activities; (j) Refrain from drilling from any Well in the Contract Area any Well that could go beyond the vertical projection of the Contract Area except in the case of unitized reservoirs in accordance with instructions established issued by the Ministry of Energy; (k) Identify each Well in accordance with the Applicable Laws and include that reference in all maps, drawings and other similar records kept by the Contractor; (l) Adequately plug Xxxxx prior to their abandonment so as to avoid pollution, damage to the environment or possible damage to Hydrocarbon deposits; (m) Allow and assist the Facilitate inspections by representatives of the Agency, CNH, the Ministry of Finance and of by any other authority to carry out the inspections of the Petroleum Activities and of all facilities, offices, accounting books and records and any other information related to the Petroleum Activities, and provide such representatives, free of charge, with all the necessary assistance to exercise their attributions entitlements under this Contract, including (in the case of Field operations) transportation, housing, meals and other services, under on the same conditions as provided by the Contractor to its own personnel; (n) Comply with information requests for information from the competent related authorities, including CNH, the Agency, the Ministry of Energy, the Ministry of Finance and the Fund; (o) Ensure that Hydrocarbons discovered in the Contract Area Fields are not spilled or otherwise wasted in any other manner, and avoid damage to strata containing Hydrocarbons and those containing water deposits; (p) Use qualified personnel and state-of-the-art Materials and technology according to in accordance with Industry Best Practices; (q) Implement, Implement and ensure that the Subcontractors implement, implement appropriate measures to protect life, archaeological discoveries and the environment in accordance with the Management System and the Applicable Laws;
