Common use of Additional Requirements and Information Clause in Contracts

Additional Requirements and Information. Headset may, either on behalf of Bank or otherwise, request additional information from Retailer to verify its identity in order to comply with laws and regulations governing payments, safeguard the integrity of the Headset Solution, and reduce the risk of fraud, money laundering, terrorist financing, and the violation of trade sanctions. Information that Headset may request, or seek to confirm, may include Retailer’s legal entity information as well as the full legal name, mailing address, phone number, date of birth, taxpayer identification number (e.g. Social Security Number), and a form of government-issued identification for beneficial owners or other principals of Retailer. Retailer agrees and understands that its ability to use the Headset Solution is contingent upon the Bank’s acceptance of Retailer as a customer in accordance with its own policies and procedures, as well as Retailer’s compliance with the Merchant Processing Terms. If for any reason the Bank terminates its agreement with the Supplier or otherwise suspends or terminates its provision of payment processing services to Retailer, Retailer may no longer be able to use the Headset Solution or sell Supplier products on consignment. The Bank may have an obligation to provide certain notices or forms to Retailer in connection with the merchant account and provision of payments services. As a condition of this Agreement, Retailer authorizes Headset to receive these notices and forms from Bank on behalf of Retailer, and acknowledges that Bank shall not be obliged to directly provide deliver the notices and forms to Retailer.
