Common use of Adequacy of Consideration Clause in Contracts

Adequacy of Consideration. Executive hereby agrees and acknowledges that the payments and benefits described in Article I of this Agreement are over and above any entitlements, severance or otherwise, that he may have by reason of his termination from employment with the Company, and that such payments and amounts constitute adequate consideration for all of Executive’s covenants and obligations set forth herein, including, but not limited to, the General Release of Claims set forth in Article II of this Agreement and the other obligations of Executive set forth in Article III of this Agreement.

Adequacy of Consideration. Executive hereby agrees and acknowledges that the payments and benefits described in Article I of this Agreement are over and above exceed any entitlements, severance payments or otherwise, other benefits that he may have by reason of his termination Resignation from employment with the Company, and that such payments and amounts benefits constitute adequate consideration for all of Executive’s covenants and obligations set forth herein, including, but not limited to, the General Release of Claims set forth in Article II of this Agreement and the other obligations Other Obligations of Executive set forth in Article III of this Agreement.

Executive hereby agrees and acknowledges that the payments and benefits described in Article I §§1.1 through §1.9 of this Agreement are over and above any entitlements, severance or otherwise, that he may have by reason of his termination separation from employment with the Company, and that such payments and amounts constitute adequate consideration for all of Executive’s covenants and obligations set forth herein, including, but not limited to, the General Release of Claims set forth in Article II of this Agreement and the other obligations of Executive Restrictive Covenants set forth in Article III of this Agreement.

Executive hereby agrees and acknowledges that the payments and benefits described in Article I of this Agreement are over and above any entitlements, severance or otherwise, that he may have by reason of his termination from cessation of employment with the Company, and that such payments and amounts constitute adequate consideration for all of Executive’s covenants and obligations set forth herein, including, but not limited to, the General Release of Claims set forth in Article II of this Agreement and the other obligations reaffirmation of Executive his Restrictive Covenants set forth in Article III of this Agreement.

Executive hereby agrees and acknowledges that the payments and benefits described in Article I §1.3 through §1.8 and §§1.12 and 1.13 of this Agreement are over and above any entitlements, severance or otherwise, that he may have by reason of his retirement or other termination from employment with the Company, and that such payments and amounts constitute adequate consideration for all of Executive’s covenants and obligations set forth herein, including, but not limited to, the General Release of Claims set forth in Article II of this Agreement and the other obligations of Executive set forth in Article III II of this Agreement.
