ADEQUACY OF IT SYSTEMS. 3.1 The IT Systems are the only information technology systems required by the Group Companies to carry on their respective businesses as at the date of this Agreement. 3.2 The IT Systems are legally and beneficially owned free from any encumbrance and are in the possession of the Group Companies or each Group Company has a valid contractual right to use the IT Systems that will subsist after Completion. 3.3 Save as Disclosed in the Disclosure Letter, no third party provides any part of the IT Systems under any outsourcing, application service provider, hosting or similar arrangement.
