Adjusted Aggregate Principal Amount. If the Net Working Capital as reflected on the Estimated Net Working Capital Statement (the “Estimated Net Working Capital”) exceeds the Net Working Capital Target, then the Aggregate Principal Amount shall be increased at the Closing by an amount equal to such excess and such increased amount shall be divided among the Seller Notes on a Pro Rata Basis. If the Net Working Capital Target exceeds the Estimated Net Working Capital, then the Aggregate Principal Amount shall be decreased at the Closing by an amount equal to such excess and such decreased amount shall be divided among the Seller Notes on a Pro Rata Basis. Any such adjustment shall be treated as an adjustment to the Purchase Price.
