Adjustment Mechanism. The Consideration as a percentage of the Operating Profit to be received by the State shall be adjusted in accordance with the following formula: SGt = 100% - SCAt SGt = Percentage of Operating Profit received by the State during Period t. SCAt = Adjusted percentage of Operating Profit received by the Contractor in Period t. The adjusted percentage of Operating Profit received by the Contractor during Period t(SCAt) will be calculated as follows: (a) When the metrics of the operating result before taxes of the Contractor for the Period immediately preceding the relevant Period (MROt โ€“ 1) is less than the value U1, the percentage of the Operating Profit received by the Contractor will be SC1.
