ADJUSTMENT OF THE FRAMEWORK PRICES. 7.1. The Framework Prices shall only be varied: 7.1.1. due to a Specific Change in Law in relation to which the Parties agree that a change is required to all or part of the Framework Prices in accordance with Clause 29.2 of the Framework Agreement; 7.1.2. where the Parties agree a reduction in all or part of the Framework Prices in accordance with paragraph 8.2 below; or 7.1.3. pursuant to the provisions of Framework Schedule 7 (Value for Money). 7.2. Every six (6) Months during the Framework Term from the Framework Commencement Date, the Supplier shall assess the level of the Framework Prices to consider whether it is able to reduce them. Such assessments shall be carried out on 1 May and 1 December in each Framework Year (or in the event that such dates do not, in any Framework Year, fall on a Working Day, on the next Working Day following such dates). To the extent that the Supplier is able to decrease all or part of the Framework Prices it shall promptly notify the Authority in writing and such reduction shall be implemented in accordance with paragraph 9 below.

Such assessments shall be carried out on 1 May the term start in February and 1 December 1st September in each Framework Contract Year (or in the event that such dates do not, in any Framework Contract Year, fall on a Working Day, on the next Working Day following such dates). To the extent that the Supplier is able to decrease all or part of the Framework Prices it shall promptly notify the Authority ESPO in writing and such reduction shall be implemented in accordance with paragraph 9 Paragraph 4 below.
