Administration and Direction of the Project. 2.1. The NC3Rs may publish details of the Project for any non-commercial purpose, subject to the provisions of this Agreement, and in particular, the provisions of confidentiality at Clause 8 of this Agreement. Such publication shall require the consent of the Partners, which consent shall not be unreasonably withheld, conditioned or delayed. 2.2. The Contractor shall ensure that each member of the Contractor’s Staff engaged on the Project, observes the Clauses of this Agreement and any Variation entered into between the Parties hereto and that the Contractor’s Staff are advised of any consequent changes in the scope of the Agreement or the Project. 2.3. Notwithstanding the provisions of Clause 15, the NC3Rs may terminate the Agreement if any of the Contractor’s Key Staff are not available for the entire period needed to fulfil their duties in the Project, subject to prior discussion having first been held with the Contractor to attempt to identify and agree a mutually acceptable replacement and where the lack of availability of one or more of the Key Staff causes a material risk to the fulfilment of the delivery objective of the Project. 2.4. 2.7. The Contractor must ensure that the Project and any acquisitions made by the Contractor are compliant with the National Security and Investment (NSI) Act 2021. Any asset or entities within the scope of the Act, obtained by the Project funding awarded to the Contractor, completed on or after 12 November 2020, including when collaborating with third parties to acquire, sell or develop qualifying entities or assets, must comply with these rules. The Contractor may be required to notify the government about an acquisition before you can complete it.
2.8. The NC3Rs will immediately suspend the Project and may require the Contractor to repay the funding if the Contractor is found to be in breach of the National Security and Investment (NSI) Act 2021.
