Notwithstanding the provisions of Clause 17, the Authority may terminate the Agreement if any of the Contractor’s Key Staff are not available for the entire period needed to fulfil their duties in the Project, subject to prior discussion having first been held with the Contractor to attempt to identify and agree a mutually acceptable replacement and where the lack of availability of one or more of the Key Staff causes a material risk to the fulfilment of the delivery objective of the Project. Within such objectives, the Contractor shall, subject to prior consultation with the Authority’s Representative where appropriate, at all times be responsible for and in control of the details of the exact programme to be followed and the day-to-day responsibility for carrying out this programme. The Contractor shall ensure that it communicates in a full, xxxxx and prompt manner with the Authority and such other third parties as may be notified to the Contractor by the Authority. The Contractor shall advise the Authority as required on the Project. In particular, the Contractor must notify the Authority of any proposed deviation from the agreed protocol or if significant developments occur as a study progresses (including, but not limited to, the safety of individuals or the scientific direction). The Authority reserves the right to terminate this Agreement forthwith: should the Contractor be unwilling or unable for any reason to continue with the Project; or if, in the reasonable opinion of the Authority, the Contractor is consistently failing to achieve an acceptable standard in relation to the Project, and where the Authority terminates this Agreement pursuant to this clause, the Authority shall not be obliged to make any further financial payments to the Contractor.
