Adoption of Merger Agreement. Each of the undersigned Stockholders, being entitled to vote on the foregoing recitals and the following resolution as if the same had been submitted at a formal meeting of the stockholders of the Company duly called and held for the purpose of acting on the same, hereby irrevocably consents, on behalf of itself and each of its Managed Funds and Accounts, to the adoption of the foregoing recitals and the following resolution: RESOLVED, that the Merger Agreement is hereby adopted and approved in all respects.
Adoption of Merger Agreement. Within one (1) Business Day after the execution and delivery of this Agreement, Parent shall adopt this Agreement as the sole stockholder of Merger Sub and shall provide evidence of such adoption to NitroMed.

Upon the acceptance for filing of the Charter Amendment by the Secretary of State of Delaware, the Company shall promptly deliver to Parent a certificate of a duly authorized officer of the Company certifying as to such acceptance. Within five (5) days of the date of this Agreement, the Company shall send to the Stockholders a notice complying with Section 262(d)(2) of the DGCL.
Adoption of Merger Agreement. By its execution and delivery of this Agreement, the Stockholder hereby waives all notice of the time, place and purpose of a special meeting of the Company’s stockholders for the purpose of adopting the Merger Agreement and approving the Merger, and pursuant to Section 228 of the DGCL, does hereby consent in writing to the adoption of the Merger Agreement and the approval of the Merger. The Stockholder agrees that it will not hereafter revoke or modify such consent or execute another consent or vote its Company Common Stock for any proposal that would prevent or delay the consummation of the transactions contemplated by the Merger Agreement.

  • Termination of Merger Agreement Notwithstanding anything to the contrary contained herein, in the event that the Merger Agreement is terminated in accordance with its terms prior to the Closing, this Agreement and all rights and obligations of the parties hereunder shall automatically terminate and be of no further force or effect.
