Common use of ADV Clause in Contracts

ADV. It has provided the Sub-Adviser with a copy of its SEC Form ADV Part 2A and will, promptly after making any material amendment to its SEC Form ADV, furnish a copy of such amendment to the Sub-Adviser. The information contained in the Adviser’s SEC Form ADV is (i) accurate and complete in all material respects and (ii) does not omit to state any material fact necessary in order to make the statements made, in light of the circumstances under which they were made, not misleading, in each case, as of the date of its filing, and as amended (or not amended) pursuant to the Instructions to Form ADV.
