AEG’s Representations. AEG represents and warrants to City as of the date hereof as follows: A. That AEG is a Delaware limited liability company that is in all respects authorized to do business in the State of Washington and The City of Seattle. B. That AEG has the full right and authority to enter into and execute this Agreement and that no consent of or notice to any other individual, private entity or governmental authority is required in connection with the execution and delivery of this Agreement; C. That this Agreement, when properly executed by both parties, shall constitute a valid and binding agreement, enforceable by City in accordance with its terms, subject to bankruptcy, insolvency and similar laws affecting the enforceability of creditors’ rights generally; and D. That to the best of its knowledge, there is no suit or proceeding pending or threatened that would adversely affect the ability of AEG to perform its obligations under this Agreement.
