The Affiliate Assignment clause allows a party to transfer its rights and obligations under the agreement to one of its affiliated entities without requiring the other party’s consent. In practice, this means that if a company undergoes internal restructuring or wishes to have a subsidiary or parent company take over the contract, it can do so seamlessly, provided the assignee qualifies as an affiliate as defined in the agreement. This clause facilitates corporate flexibility and continuity by enabling internal assignments while typically restricting transfers to unrelated third parties.
Affiliate Assignment. Subject to the last sentence of Section 20.7 above, Schering may assign any of its rights or obligations under this Agreement in any country to any of its Affiliates; provided, however, that such assignment shall not relieve Schering of its responsibilities for performance of all of its obligations under this Agreement. Schering shall promptly inform DUSA of such assignment and the terms thereof. Any assignment under this Section must obligate the assignee to the terms and conditions of this Agreement.

Affiliate Assignment. Notwithstanding Section 15, an Affiliate Assignment shall not require the approval or consent of Lessor, SRPMIC or the Secretary.   • SUBLET/ASSIGNMENT The Lessee may not transfer or assign this Lease, or any right or interest hereunder or sublet said leased Premises or any part thereof without first obtaining the prior written consent and approval of the Lessor.
