ASSIGNMENT/SUB-CONTRACTING. The Contractor agrees that he will not sell, assign or transfer this Agreement or any part thereof or interest therein without the prior written consent of the Owner.
ASSIGNMENT/SUB-CONTRACTING. The Contractor shall not assign the whole or any part of the work to any other Party/Firm/Individual without prior written consent of the Employer.
ASSIGNMENT/SUB-CONTRACTING. 21.1 Neither Party shall assign any of its rights or transfer or subcontract any of its obligations under this Agreement without the prior written consent of the other Party which consent shall not be unreasonably withheld. In the event of an assignment in accordance with the terms of this Article, the assignor shall nevertheless remain responsible for the proper performance of the Agreement. Any assignment not made in accordance with the terms of this Article shall be void.
ASSIGNMENT/SUB-CONTRACTING. No rights of Seller under this Order (including rights to monies due) are assignable in whole or in part, nor is Seller permitted to subcontract any obligation under this Order without Buyer's prior written consent. All terms of this Order shall be binding upon, and shall accrue to the benefit of, the successors and permitted assigns of the parties hereto. Seller shall take all steps required to ensure that each of Seller's employees, agents and subcontractors (collectively, ''Seller's Representatives'') comply with all provisions of this Order as if such person is the Seller. In any case, assigned accounts shall be subject to set-off, recoupment or any other claim of Buyer against Seller. 5A)
ASSIGNMENT/SUB-CONTRACTING. 14.1 Supplier shall not assign its rights and obligations under the Agreement to third parties (including affiliated companies of Supplier), whether in whole or in part, without the prior written consent of Canon.
14.2 Supplier shall not subcontract the fulfilment of its obligations under the Agreement to third parties (including affiliated companies of Supplier), whether in whole or in part, without the prior written consent of Canon, which is not to be unreasonably withheld, provided that Supplier has in place obligations with the subcontractor that are similar to the obligations imposed on Supplier in the Agreement and Supplier shall be liable for the acts and omissions of its subcontractor in carrying out the obligations under this Agreement as if they were the acts or omissions of Supplier.
14.3 In urgent cases, and/or if it has been reasonably established that Supplier will fail (or has already failed) to meet, will be late in meeting or will not adequately meet its obligations under the Agreement, Canon is entitled to: (i) perform such obligations itself (if this is possible); (ii) appoint another sub-contractor to perform such obligations; or (iii) require that Supplier subcontracts the performance of its obligations under the Agreement, in each case whether in whole or in part, at no extra charge to Canon. This shall not release Supplier from its obligations under the Agreement and is without prejudice to any other rights of Canon arising from the non-fulfilment by Supplier and/or the third party of their obligations.

ASSIGNMENT/SUB-CONTRACTING. The Contractor shall not assign the whole or any part of the work to any other Party / Firm / Individual without prior written consent of the Employer. If at any stage of the currency of the contract, it is found that the work has been sublet by the contractor (exception to Clause 5.2 of GCC), IWAI shall forfeit the PBG and SD for the contract amount and shall black list the Contractor for further works with XXXX.
ASSIGNMENT/SUB-CONTRACTING. The Seller shall not sub-contract or assign any of its obligations or rights under the Contract without Pfizer’s prior written consent. The Parties, hereby expressly agree that Pfizer may freely transfer the benefits of this Agreement to any company that may take its place it as a result of a merger, split, acquisition, partial transfer of assets, transfer of business and more generally any restructuring operation.
ASSIGNMENT/SUB-CONTRACTING. 15.1 Neither Party shall assign, transfer, charge or otherwise deal with all or any of its rights under this Agreement without the prior written consent of the other Party. No such permitted assignment shall relieve either Party of any of its obligations under this Agreement.
ASSIGNMENT/SUB-CONTRACTING. The Supplier shall not assign or sub contract or otherwise make over any of its rights under any Contract formed pursuant hereto without the prior written permission of B38.
