Affiliate Employees. If any employee identified in Schedule 11.1 is an employee of an Affiliate of Seller, he or she shall be considered a Transferred Employee and shall be treated under this Agreement in a manner that is comparable to the treatment given to the Transferred Employees who are employed by Seller, except that his or her service as of the Closing Date shall be determined in accordance with the practices and procedures of his or her employer, as in effect on the Closing Date.
Affiliate Employees. Schedule 6.1(g) sets forth a list of those Active Employees (if any) who, as of the date hereof, are performing services for any IPC Company but are employed by an Affiliate of Seller (other than any IPC Company) (the "Affiliate Employees"). The list of Affiliate Employees shall be updated not less than 90 days prior to the Closing Date. Purchaser may offer to employ as of the Closing Date such Affiliate Employees with the consent of Seller. Each such Affiliate Employee who accepts such offer of employment shall be a Transferred Employee and shall be treated under this Agreement in a manner that is comparable to the treatment given to the Transferred Employees who were employed by an IPC Company.
Affiliate Employees. If any employee identified in the list provided pursuant to Section 11.1 is an employee of an Affiliate of Seller whose duties relate primarily to the Business, he or she shall be considered a Transferred Employee and shall be treated under this Agreement in a manner that is comparable to the treatment given to the Transferred Employees who are employed by Seller, except that his or her service as of the Closing Date shall be determined in accordance with the practices and procedures of his or her employer, as disclosed to Buyer in accordance with Section 11.1.2.
Affiliate Employees. Customer agrees that employees of GPC affiliates may perform Agreement activity on behalf of GPC, and Customer consents to such arrangements. For Agreement purposes, these individuals will be deemed employees solely of GPC and GPC will be responsible for their activity. Customer waives and relinquishes any claim or cause of action against GPC's parent or any affiliate, it being the parties’ intent that the activity of these employees will not be attributable to GPC’s parent or any affiliate.
Affiliate Employees. Prior to the Closing Date, Seller and Buyer shall agree on a list of those Active Employees (if any) who, prior to the Closing Date, are performing services for the Acquired Entities or ACS Defense but are employed by Seller or an Affiliate of Seller (other than an Acquired Entity or ACS Defense) and who will become employees of the Acquired Entities as of the Closing Date (the "Affiliate Employees"). Such list of Affiliate Employees shall be set forth on Schedule 6.1(e). The Acquired Entities shall employ the Affiliate Employees on the Closing Date. Each such Affiliate Employee shall be a Transferred Employee and shall be treated under this Agreement in a manner that is comparable to the treatment given to the Transferred Employees who are employed by the Acquired Entities without regard to this subparagraph (e), except that his or her service as of the Closing Date shall be determined in accordance with the practices and procedures of his or her employer, as in effect on the Closing Date. If, immediately prior to the Closing, any Affiliate Employee participated in any employee benefit plan that is not listed on Schedule 3.1(n)(1), but would have been listed on such Schedule if the Affiliate Employee had been an Employee of an Acquired Entity or ACS Defense at that time (an "Affiliate Employee Plan"), then Seller shall provide Buyer with a copy of such Affiliate Employee Plan at the time of the Closing or as soon thereafter as is practicable. Any Affiliate Employee Plan will also be treated as a plan maintained by Seller for the benefit of Employees immediately prior to the Closing for purposes of applying any other provision of this Article VI applicable to the same type of plan as such Affiliate Employee Plan. Affiliate Employees. Except as otherwise provided in Section 6.4(c), all employees, if any, of Le Francais, LLC, SBC Real Estate LLC, Southwest Baking Co., LLC, Capistrano’s Bakery Inc., Homestyle Bread, LLC and Double E Holdings or any Affiliate of XXX who participate in the Benefit Plans shall be withdrawn from such Benefit Plans prior to Closing.
