AFFILIATES; SUBSIDIARIES. References in this Agreement to "Affiliates" or "Subsidiaries" of a specified Person refer to, and include, only other Persons which from time to time constitute "Affiliates" or "Subsidiaries", as the case may be, of such specified Person, and do not include, at any particular time, other Persons that may have been, but at such time have ceased to be, "Affiliates" or "Subsidiaries", as the case may be, of such specified Person.
AFFILIATES; SUBSIDIARIES. Borrower has no Subsidiaries, except for those Subsidiaries listed in section 10.26 of the Disclosure Schedule, which may be updated by Borrower from time to time without the consent of Required Lenders so long as any such new Subsidiaries executes a joinder agreement to the Guaranty if required by the Administrative Agent in its reasonable discretion.
AFFILIATES; SUBSIDIARIES. Borrower has no Subsidiaries, except for those Subsidiaries listed in section 10.27 of the Disclosure Schedule, which may be updated by Borrower from time to time without the consent of Required Lenders so long as any such new Subsidiaries executes a joinder agreement to the Guaranty if required by the Administrative Agent in its reasonable discretion or as otherwise required by this Agreement. Section 10.27 of the Disclosure Schedule sets forth for each Subsidiary, its authorized capital stock, membership interests or other equity interests and its issued and outstanding capital stock, membership interests or other equity interests; all issued and outstanding shares, membership interests or other equity interests of such Subsidiaries are validly issued and outstanding, fully paid and non-assessable, and are owned beneficially and of record by the Persons listed.
AFFILIATES; SUBSIDIARIES. Borrower has no Subsidiaries (direct or indirect), except for those Subsidiaries listed in section 10.26 of the Disclosure Schedule (which lists all Guarantors and all Dormant Subsidiaries), which may be updated by Borrower from time to time without the consent of Required Lenders so long as any such new Subsidiary executes a joinder agreement to the Guaranty if required by the Administrative Agent in its reasonable discretion. None of the Dormant Subsidiaries holds any assets of any kind or nature other than the equity of any other Dormant Subsidiary, or has or will incur any liabilities, obligations or Indebtedness of any kind other than incidental corporate maintenance items and incidental franchise tax liabilities related its corporate existence and other than liabilities of the Dormant Subsidiaries under leases assigned to Healthcare Uniform Company, Inc. and for which Healthcare Uniform Company, Inc. is primarily liable. Other than the Subsidiaries who are Guarantors and other than the Dormant Subsidiaries, Borrower has no Subsidiaries (direct or indirect). Except as provided above, none of the Dormant Subsidiaries has any existing Indirect Obligation or Indebtedness."
AFFILIATES; SUBSIDIARIES. All Persons who are Borrower’s Affiliates and/or Subsidiaries are identified in Schedule 9.17. Except as set forth on Schedule 9.17, no Affiliate or Subsidiary of Borrower (other than Permitted Subsidiaries) (i) sells or leases any goods or real property to Borrower, (ii) sells any services to Borrower, (iii) purchases or leases any goods or real property, or purchases any services from, Borrower, or (iv) is a party to any contract or commitment with Borrower.”

AFFILIATES; SUBSIDIARIES. As of the date hereof, the Borrower has no Affiliates or Subsidiaries except as set forth on Schedule 4.12.
AFFILIATES; SUBSIDIARIES. All of the Obligors' Affiliates, Subsidiaries and parent company, if any, are listed in SCHEDULE 5.15 attached hereto. The outstanding capital stock of all of the Obligors and their Subsidiaries has been duly authorized, validly issued, fully paid and nonassessable and is not margin stock.
AFFILIATES; SUBSIDIARIES. (a) All Affiliates of the Company are set forth in Section 3.2(a) of the Disclosure Schedule. The Australian Sub is the only Subsidiary of SeaBotix, and except as set forth in Section 3.2(a) of the Disclosure Schedule, the Company does not own, directly or indirectly, and has not entered into any agreement, arrangement or understanding to purchase or sell any capital stock or other ownership interests in any Person.
