Common use of Agency Approvals; Servicing Clause in Contracts

Agency Approvals; Servicing. To the extent previously approved, Seller shall maintain its status with Xxxxxx Mae and Xxxxxx Xxx as an approved lender and Xxxxxxx Mac as an approved seller/servicer, in each case in good standing (each such approval, an “Agency Approval”). Should Seller, for any reason, cease to possess all such applicable Agency Approvals to the extent necessary, should Seller experience any change in its delegated underwriting authority from any Agency, or should notification of an adverse occurrence to the relevant Agency or HUD, FHA, VA or RD be required, Seller shall so notify Buyer immediately in writing. Notwithstanding the preceding sentence and to the extent previously approved, Seller shall take all necessary action to maintain all of its applicable Agency Approvals at all times during the term of this Agreement and each outstanding Transaction.

Notwithstanding the preceding sentence and unless Buyer has given its prior written consent otherwise (such consent not to be unreasonably withheld), the extent previously approved, Seller shall take all necessary action to maintain all of not surrender or relinquish its applicable Agency Approvals at all times during the term of this Repurchase Agreement and each outstanding Transaction.

Notwithstanding the preceding sentence and to the extent previously approved, Seller shall take all necessary action to maintain all of its applicable Agency Approvals at all times during the term of this Agreement and each outstanding Transaction.
