Agency’s Conditions of Phase 1 Closing. Agency’s obligation to proceed with the Phase 1 Closing is subject to the fulfillment, or waiver by Agency, of each and all of the conditions precedent (a) through (t), inclusive, described below (“Agency’s Phase 1 Conditions Precedent”), which are solely for the benefit of Agency, and which shall be fulfilled, or waived in its sole discretion, within the time periods provided for herein, or if no time frame is provided, prior to the earlier of Phase 1 Close of Escrow or the Phase 1 Outside Date:
