Agent for Company. Recipient acknowledges and understands that BMI serves as broker, advisor and Agent for Company. Recipient understands that BMI does not work for Recipient and does not serve as Recipient’s broker or agent. Recipient is advised to seek its own independent legal, tax, accounting, valuation and other professional advice prior to making a purchase decision. Recipient agrees not to contact Company regarding the Permitted Purpose and that all negotiations, inquiries, investigations, offers to purchase, and/or letters of intent must be made through BMI. Recipient further agrees that it will not interfere with any agreement between Company and BMI.

  • AS AGENT FOR BOTH - INTERMEDIARY To act as an intermediary between the parties the broker must first obtain the written agreement of each party to the transaction. The written agreement must state who will pay the broker and, in conspicuous bold or underlined print, set forth the broker's obligations as an intermediary.   • Registration of Transfer The Warrant Agent shall register the transfer, from time to time, of any outstanding Warrant upon the Warrant Register, upon surrender of such Warrant for transfer, properly endorsed with signatures properly guaranteed and accompanied by appropriate instructions for transfer. Upon any such transfer, a new Warrant representing an equal aggregate number of Warrants shall be issued and the old Warrant shall be cancelled by the Warrant Agent. The Warrants so cancelled shall be delivered by the Warrant Agent to the Company from time to time upon request.
