Purchase Decision. Each Purchaser acknowledges that it has, independently and without reliance upon the Funding Agent, and based on such documents and information as it has deemed appropriate, made its own evaluation and decision to enter into this Note Purchase Agreement and to purchase an interest in the VFN. Each Purchaser also acknowledges that it will, independently and without reliance upon the Funding Agent or any of its Affiliates, and based on such documents and information as it shall deem appropriate at the time, continue to make its own decisions in taking or not taking action under this Note Purchase Agreement or any related agreement, instrument or other document.
Purchase Decision. Each Purchaser acknowledges that it has, independently and without reliance upon the Administrative Agent or any of its Affiliates, and based on such documents and information as it has deemed appropriate, made its own evaluation and decision to enter into this Agreement and to purchase the Series 2002-1 Notes. Each Purchaser also acknowledges that it will, independently and without reliance upon the Administrative Agent or any of its Affiliates, and based on such documents and information as it shall deem appropriate at the time, continue to make its own decisions in taking or not taking action under this Agreement or any related agreement, instrument or other document.
Purchase Decision. Each Owner acknowledges that it has, independently and without reliance upon the Note Agent, any other Owner or any of their respective Affiliates, and based on such documents and information as it has deemed appropriate, made its own evaluation and decision to enter into this Agreement and to invest in the Note (or such interest therein as such Owner may hold). Each Owner also acknowledges that it will, independently and without reliance upon the Note Agent, any other Owner or any of their respective Affiliates, and based on such documents and information as it shall deem appropriate at the time, continue to make its own decisions in taking or not taking action under this Agreement or any related agreement, instrument or other document.
Purchase Decision. The Purchaser acknowledges that it has, independently and without reliance upon the Agent or any other Owner and based on such documents and information as it has deemed appropriate, made its own evaluation and decision to enter into this Agreement and, if it so determines, to purchase Percentage Interests hereunder. Each Owner acknowledges and agrees that it will, independently and without reliance upon the Agent, the Purchaser or any other Owner, and based on such documents and information as it shall deem appropriate at the time, make its own decisions in taking or not taking action under or in connection with this Agreement.
Purchase Decision. At any time during the last six months of the Least term, but not later than the date fixed for the expiration of the term of this Lease, if Lessee has duly made all payments required under this Lease, Lessee will have the right to request to purchase such item at its market price at the end of the Lease period. For purposes of this purchase decision, within a reasonable time after Lessee’s request but before the expiration of the term of the Lease, Lessor shall communicate to Lessee its decision whether or not to sell the item. If affirmative, the market price shall be established as a then agreed upon price determined mutually by Lessor and Lessee. If both parties mutually agree upon the terms of the purchase, Lessor will execute and deliver to Lessee all documents necessary and proper to effect transfer of ownership of the Property to Lessee, free and clear of all encumbrances, security interest, and liens. If Lessee pays the full agreed purchase price in cash, company, or certified check, this Lease is terminated as to any Property so purchased by Lessee, and no further rents will be due for any such Property.
Purchase Decision. Each Purchaser acknowledges that it has, independently and without reliance upon any Agent, and based on such documents and information as it has deemed appropriate, made its own evaluation and decision to enter into this Agreement and to purchase an interest in the Series 2012-VFN Note. Each Purchaser also acknowledges that it will, independently and without reliance upon any Agent or any of its Affiliates, and based on such documents and information as it shall deem appropriate at the time, continue to make its own decisions in taking or not taking action under this Agreement or any related agreement, instrument or other document.
Purchase Decision. Buyer shall have determined in its sole discretion to purchase the Mortgage Loan hereunder.
Purchase Decision. Each of the Conduit Purchasers and the Committed Purchaser acknowledges that it has, independently and without reliance upon the Administrator or the Funding Agent, and based on such documents and information as it has deemed appropriate, made its own evaluation and decision to enter into this Note Purchase Agreement and to purchase an interest in the Notes. Each of the Conduit Purchasers and the Committed Purchaser also acknowledges that it will, independently and without reliance upon the Administrator or the Funding Agent or any of their respective Affiliates, and based on such documents and information as it shall deem appropriate at the time, continue to make its own decisions in taking or not taking action under this Note Purchase Agreement or any related agreement, instrument or other document.
Purchase Decision. Each Bank acknowledges that it has, independently and without reliance upon either Agent or any other Bank and based on such documents and information as it has deemed appropriate, made its own evaluation and decision to enter into this Agreement and, to the extent it so determines, to issue Letters of Credit and/or to purchase an undivided ownership interest in Receivables hereunder. Each Bank also acknowledges that it will, independently and without reliance upon either Agent or any other Bank, and based on such documents and information as it shall deem appropriate at the time, continue to make its own decisions in taking or not taking action under this Agreement.
Purchase Decision. Each Sheffield Owner acknowledges that it has, independently and without reliance upon the Purchaser’s Agent, any other Sheffield Owner or any of their respective Affiliates, and based on such documents and information as it has deemed appropriate, made its own evaluation and decision to enter into this Class A Note Purchase Agreement and to purchase an interest in the Class A Notes. Each Sheffield Owner also acknowledges that it will, independently and without reliance upon the Purchaser’s Agent, any other Sheffield Owner or any of their respective Affiliates, and based on such documents and information as it shall deem appropriate at the time, continue to make its own decisions in taking or not taking action under this Class A Note Purchase Agreement or any related agreement, instrument or other document.
