Common use of Agent’s Costs Clause in Contracts

Agent’s Costs. The Principal Company shall, from time to time on demand of the Facility Agent (and without prejudice to the provisions of Clause 33.2 (Preservation and Enforcement of Rights) and Clause 38.2 (Amendment Costs)) compensate each of the Agents at such daily and/or hourly rates as such Agent shall from time to time reasonably determine for the time and expenditure, all costs and expenses (including telephone, fax, copying, travel and personnel costs) incurred by such Agent in connection with its taking such action as it may deem appropriate or in complying with any instructions from an Instructing Group or any request by the Borrowers or any of them in connection with: (a) the granting or proposed granting of any waiver or consent requested hereunder by the Borrowers or any of them; (b) any actual, potential or suspected breach by the Borrowers or any of them of its obligations hereunder; (c) the occurrence of any event which is an Event of Default or a Potential Event of Default; or (d) any amendment or proposed amendment hereto requested by the Borrowers or any of them.

The Principal Company shall, from time to time on demand of the Facility Agent (and without prejudice to the provisions of Clause 33.2 22.2 (Preservation and Enforcement of Rights) and Clause 38.2 27.2 (Amendment Costs)) compensate each of the Agents Facility Agent at such daily and/or hourly rates as such the Facility Agent shall from time to time reasonably determine for the time and expenditure, all costs and expenses (including telephone, fax, copying, travel and personnel costs) incurred by such the Facility Agent in connection with its taking such action as it may deem appropriate or in complying with any instructions from an Instructing Group or any request by the Borrowers or any of them in connection with: (a) the granting or proposed granting of any waiver or consent requested hereunder by the Borrowers or any of them; (b) any actual, potential or suspected breach by the Borrowers or any of them of its obligations hereunder; (c) the occurrence of any event which is an Event of Default or a Potential Event of Default; or (d) any amendment or proposed amendment hereto requested by the Borrowers or any of them.
