AGENT’S COMMISSION Sample Clauses
AGENT’S COMMISSION. The Purchaser warrants that the Agent was the effective cause of the sale and indemnifies and holds the Seller harmless against any claim (including all legal costs on attorney and own client scale incurred by the Seller in connection therewith) which may be made by any other agent in respect of any commission arising out of the sale of the Property to the Purchaser.
AGENT’S COMMISSION. Promptly upon the closing of the sale of any Notes sold by the Company as a result of a solicitation made by or offer to purchase received by an Agent, the Company agrees to pay such Agent a commission, in accordance with the schedule set forth in Exhibit A.
AGENT’S COMMISSION. 20.1 The Purchaser warrants that he was introduced to the Property by the Estate Agent referred to in clause 1.13.1 of the Contract of Sale who, it is recorded, was the effective cause of the sale in terms of the Contract. The Seller shall pay a selling commission to the agency referred to in clause 1.13.2 of the Contract of Sale in the amount referred to in clause 1.13.3 of the Contract of Sale. The aforesaid commission shall be deemed to have been earned and shall be payable on the Date of Transfer.
20.2 In such circumstances, the Purchaser warrants that:
20.2.1 the Estate Agent was the sole effective cause of the sale,
20.2.2 he was not introduced to the Property and/or the Contract, by any agent other than the Estate Agent named in clause 1.13.1 of the Contract of Sale as aforesaid; and
20.2.3 no commission shall become payable by the Seller to any agent other than the Estate Agent named in clause 1.13.1 of the Contract of Sale as aforesaid.
20.3 The Purchaser accordingly indemnifies the Seller and holds it harmless against all costs, charges, claims, demands, expenses, loss and damage which may be made against/suffered by the Seller arising out of breach of any of the aforegoing warranties.
20.4 Should this sale be cancelled by the Seller as a result of any failure by the Purchaser to carry out his obligations in terms of the Contract, or should the Purchaser resile from the Contract for any reason whatsoever, then the Purchaser shall be liable for the payment of agent’s commission and the Seller shall have no liability whatsoever for the payment thereof.
AGENT’S COMMISSION. 7.1 The Purchaser shall be liable for and pay, in addition to the amounts payable in terms of clause 4 Agent’s commission of 6% (six percent) of the Purchase Price, plus VAT thereon, which commission is payable immediately upon the signing of this deed of sale by the purchaser and earned on acceptance by the Seller.
7.2 If commission is not paid by the Purchaser to the Agent in terms hereof for any reason whatsoever, the Seller hereby instructs his attorneys to pay the commission or balance thereof, whichever may be applicable, to the Agent as a first draw from the proceeds of this sale, against registration of transfer of the Property into the name of the Purchaser.
7.3 The Purchaser shall be liable to pay to the Agent, upon demand, a fee equal to any bank charges that the Agent may become liable for upon payment of the Agent’s commission into the Agent’s chosen bank account.
7.4 The provisions of this clause are inserted and intended for the benefit of the Agent who by his signature hereto, accepts such benefit.
AGENT’S COMMISSION. The Company shall provide to the Trustee the above Settlement information received from the Agent and shall cause the Trustee to issue, authenticate and deliver Notes. The Company also shall provide to the Trustee and/or Agent a copy of the applicable Pricing Supplement.
AGENT’S COMMISSION. 11.1 The parties record that the agent specified in clause 7 of the schedule of information was the effective cause of this transaction.
11.2 The Seller shall pay the agents commission.
11.3 The Purchaser warrants and undertakes to the Seller that the Purchaser has not been introduced to the Seller, the property or the development by any third party entitled to commission other than the agent specified in clause 7 of the schedule of information and indemnifies the Seller against any claim that may be instituted by any agent claiming that he/she introduced the property and is the effective cause of the sale.
AGENT’S COMMISSION. 7.1 The Purchaser shall be liable for and pay, in addition to the amounts payable in terms of clauses
4.2 and 4.4, Agent’s commission of 7% (seven percent) of the purchase price, plus VAT thereon, which commission shall be payable immediately upon the signing of the agreement of the Purchaser’s offer in terms hereof and deemed to be earned on acceptance by the Seller.
7.2 If commission is not paid by the Purchaser to the Agent in terms hereof for any reason whatsoever, the Seller hereby instructs his attorneys to pay the commission or balance thereof, whichever may be applicable, to the Agent as a first draw from the proceeds of this sale, against registration of transfer of the property into the name of the Purchaser.
7.3 The Purchaser shall be liable to pay to the Agent, upon demand, a fee equal to any bank charges that the Agent may become liable for upon payment of the Agent’s commission into the Agent’s chosen bank account.

AGENT’S COMMISSION. 7.1 The Purchaser warrants that he was introduced to the Property by the Estate Agent’s referred to in clause 1.10 of this agreement, who was the effective cause of the sale of the Property in terms of this agreement. The Seller shall pay to the Estate Agents a commission of % ( Percent) (plus VAT, if applicable) of the Purchase Price, which commission shall be deemed to have been earned upon the signature of this agreement by both parties, and the subsequent fulfilment of any suspensive conditions contained herein, and shall be payable on the Registration of Transfer. The Seller hereby irrevocably authorises and instructs the Conveyancers to make payment of the aforesaid commission from the proceeds of the sale of the Property due to the Seller.
7.2 Should the Purchaser fail to carry out its obligations in terms hereof, and as a consequence this agreement is cancelled the aforesaid estate agent shall have the right to, but shall not be obliged, to recover payment of its aforesaid commission from the Purchaser.
7.3 In the event of the aforesaid estate agent instituting action against either the Seller or the Purchaser to give effect to the benefits created herein in its favour, the agent shall be entitled to claim legal costs to the maximum amount permitted by Law.
7.4 In the event of the Purchaser not having completed clause 1.10 of the agreement by inserting the name of an Estate Agent/Agency, the Purchaser warrants that no Estate Agent was responsible for introducing him to the Property and further warrants that no agent will have any claim against the Seller for estate agent's commission arising out of this transaction.
7.5 The Purchaser indemnifies and holds harmless the Seller against any loss, damage or expense sustained, suffered or incurred by the Seller arising out of any breach of the foregoing warranties.
7.6 The provisions of this clause as well as certain other provisions in the agreement, are intended by the Seller and the Purchaser to be a contract for the benefit of the Agents, which may be enforced by the Estate Agents, it being recorded and agreed that the Estate Agents have accepted the benefits hereof by their signature at the foot of this agreement.
AGENT’S COMMISSION. The Company will assign a CUSIP number to the Book-Entry Note representing such Note and then advise the Trustee by electronic transmission of the above settlement information received from the Presenting Agent, such CUSIP number and the name of the Agent.
AGENT’S COMMISSION. The parties warrant that the Agent was the effective cause of the sale and that no other person or estate agent introduced the Purchaser to the Property or to the Seller, and the Seller shall be liable to effect payment of the Agent’s commission as agreed to in this Agreement
