Common use of AGENT'S DETERMINATION Clause in Contracts

AGENT'S DETERMINATION. The Agent shall determine each interest rate applicable to the Loans hereunder. The Agent shall give prompt written notice to the Borrower and the Lenders of each rate of interest so determined and, in respect of the Prime Rate, and the Applicable Margins, any change or adjustment thereof; provided, however that the failure of the Agent to give such notice shall in no way affect the validity or applicability of any such determination, change or adjustment. The Agent's determinations under this Section 2.07(c) shall be conclusive and binding, absent manifest error.
