Common use of Agents may appoint successors Clause in Contracts

Agents may appoint successors. If the Issue and Paying Agent, Determination Agent or any Required Paying Agent gives notice of its resignation in accordance with Clause 13.1 (Resignation) and by the tenth day before the expiry of such notice a successor has not been duly appointed in accordance with Clause 13.4 (Additional and successor agents), the Issue and Paying Agent or (as the case may be) Determination Agent or Required Paying Agent may itself, following such consultation with the Issuer as is practicable in the circumstances, appoint as its successor any reputable and experienced financial institution and give notice of such appointment to the Issuer, the remaining Agents and the Noteholders, whereupon the Issuer, the remaining Agents and such successor shall acquire and become subject to the same rights and obligations between themselves as if they had entered into an agreement in the form mutatis mutandis of this Agreement.

If the Issue and Paying Fiscal Agent, Determination Registrar, Calculation Agent or any Required Paying Agent gives notice of its resignation in accordance with Clause 13.1 14.1 (Resignation) and by the tenth day before the expiry of such notice a successor has not been duly appointed in accordance with Clause 13.4 14.4 (Additional and successor agents), the Issue and Paying Fiscal Agent or (as the case may be) Determination ), Registrar, Calculation Agent or Required Paying Agent may itself, following such consultation with the Issuer and the Guarantor as is practicable in the circumstances, appoint as its successor any reputable and experienced financial institution and give notice of such appointment to the Issuer, the Guarantor, the remaining Agents and the Noteholders, whereupon the Issuer, the Guarantor, the remaining Agents and such successor shall acquire and become subject to the same rights and obligations between themselves as if they had entered into an agreement in the form mutatis mutandis of this Agreement.
