Xxxxxx Marg Churchgate, Mumbai 400 020, Maharashtra, India (hereinafter referred to as “ISEC”) of the TWELFTH PART; AND IIFL SECURITIES LIMITED, a company incorporated under the laws of India and having its office at 10th Floor, IIFL Centre, Kamala City, Senapati Xxxxx Xxxx Lower Parel (West), Mumbai 400 013, Maharashtra, India (hereinafter referred to as “IIFL”) of the THIRTEENTH PART; AND JEFFERIES INDIA PRIVATE LIMITED, a company incorporated under the laws of India and having its office at 00/00, 0 Xxxxx Xxxxxx Xxxxx Xxxxxx, Xxxxxx-Kurla Complex, Bandra (East), Mumbai 400 051, Maharashtra, India (hereinafter referred to as “Jefferies”) of the FOURTEENTH PART. In this Agreement:
CITIGROUP GLOBAL MARKETS. Deutschland AG, in its capacity as European registrar (the “European Registrar”, which expression shall include any successor to Citigroup Global Markets Deutschland AG in its capacity as such);
CITIGROUP GLOBAL MARKETS. LIMITED a company incorporated in England and Wales with registered number 01763297 whose registered office is Citigroup Centre, Canada Square, Canary Wharf, London E14 5LB (“GSK Bank”); and
CITIGROUP GLOBAL MARKETS. LIMITED as documentation agent for the other Finance Parties (the “Documentation Agent”). IT IS AGREED as follows:
CITIGROUP GLOBAL MARKETS. DEUTSCHLAND AG in its capacity as Registrar (the Registrar, which expression shall include any successor registrar appointed under clause 24);
CITIGROUP GLOBAL MARKETS. DEUTSCHLAND AG as the registrar and transfer agent under the Agency Agreement (the "Registrar" and "Transfer Agent"); IT IS AGREED as follows:
CITIGROUP GLOBAL MARKETS. DEUTSCHLAND AG, a German Aktiengesellschaft (the “Registrar”). Each party agrees as follows for the benefit of the other parties and for the equal and ratable benefit of the Securityholders (as defined below).
