Agreement Binding Upon Successors. This Agreement is intended to bind and inure to the benefit of and be enforceable by you, Parent and the Company and their respective successors and assigns. Each of Innophos and Parent shall use reasonable best efforts to require any successor to all or substantially all of the business and/or assets of Innophos or Parent to assume and agree to perform this Agreement in the same manner and to the same extent that Innophos or Parent would be required to perform it if no such succession had taken place; provided that in all cases Innophos and Parent shall remain responsible for amounts owing to you hereunder.
