Common use of Agreement Not to Solicit Clause in Contracts

Agreement Not to Solicit. For one year following any Termination Date, regardless of the reason, the Executive shall not solicit any employee of the Company or an Affiliate to leave such employment and to provide services to the Executive or any business entity by which the Executive is employed or in which the Executive has a material financial interest. Soliciting a former employee of the Company and its Affiliates to provide such services shall not be a violation of this Agreement.

For one year following any Termination Date, regardless of the reason, the Executive shall not solicit any employee of the Company or an Affiliate to leave such employment retention and to provide services to the Executive or any business entity by which the Executive is employed retained or in which the Executive has a material financial interest. Soliciting a former employee of the Company and its Affiliates to provide such services shall not be a violation of this Agreement.

For one year following any Termination Terminate Date, regardless of the reason, the Executive shall not solicit any employee of the Company or an Affiliate to leave such employment and to provide services service to the Executive or any business entity by which the Executive is employed or in which the Executive has a material financial interest. For one (1) year following any Termination Date, regardless of the reason, the Executive shall not solicit any employee of the Company or an Affiliate to leave such employment and to provide services service to the Executive or any business entity by which the Executive is employed or in which the Executive has a material financial interest, provided that nothing herein shall prohibit the employment of any person by means of general advertisements of employment not specifically directed towards such person. Soliciting a former employee of the Company and and/or its Affiliates to provide such services shall not be a violation of this Agreement.

Agreement Not to Solicit. For one year following any Termination Date, regardless of the reason, the Executive shall not solicit any employee Executive of the Company or an Affiliate to leave such employment retention and to provide services to the Executive or any business entity by which the Executive is employed retained or in which the Executive has a material financial interest. Soliciting a former employee Executive of the Company and its Affiliates to provide such services shall not be a violation of this Agreement.
