Common use of Agreement to Employ; No Conflicts Clause in Contracts

Agreement to Employ; No Conflicts. Upon the terms and subject to the conditions of this Agreement, the Company hereby agrees to employ the Executive, and the Executive hereby accepts such continued employment with the Company. The Executive represents that (a) he is entering into this Agreement voluntarily and that his employment hereunder and compliance with the terms and conditions hereof will not conflict with or result in the breach by him of any agreement to which he is a party or by which he may be bound, (b) he has not, and in connection with his employment with the Company will not, violate any non-competition, non-solicitation or other similar covenant or agreement by which he is or may be bound and (c) in connection with his employment with the Company he will not use any confidential or proprietary information he may have obtained in connection with his employment with any prior employer.

Upon the terms and subject to the conditions of this Agreement, the Company hereby agrees to continue to employ the Executive, and the Executive hereby accepts such continued employment with the Company. The Executive represents and agrees that (a) he is entering into this Agreement voluntarily and that his employment hereunder and compliance with the terms and conditions hereof will not conflict with or result in the breach by him of any agreement to which he is a party or by which he may be bound, (b) he has notnot violated, and in connection with his employment with the Company will notnot violate, violate any non-competition, non-solicitation or other similar covenant or agreement by which he is or may be bound and (c) in connection with his employment with the Company he will not use any confidential or proprietary information he may have obtained in connection with his employment with any prior employer.

Upon the terms and subject to the conditions of this Agreement, the Company hereby agrees to employ the Executive, and the Executive hereby accepts such continued employment with the Company, in each case, as of the closing date of the Purchase Agreement (the "Effective Date"). The Executive represents that (ai) he is entering into this Agreement voluntarily and that his employment hereunder and compliance with the terms and conditions hereof will not conflict with or result in the breach by him of any agreement to which he is a party or by which he may be bound, (bii) he has notnot violated, and in connection with his employment with the Company will notnot violate, violate any non-competition, non-solicitation or other similar covenant or agreement by which he is or may be bound and (ciii) in connection with his employment with the Company he will not use any confidential or proprietary information he may have obtained in connection with his employment with any prior employer.

The Executive represents and agrees that (a) he is entering into this Agreement voluntarily and that his employment hereunder and compliance with the terms and conditions hereof will not conflict with or result in the breach by him of any agreement to which he is a party or by which he may be bound, (b) he has notnot violated, and in connection with his employment with the Company will notnot violate, violate any non-competition, non-solicitation or other similar covenant or agreement by which he is or may be bound and (c) in connection with his employment with the Company he will not use any confidential or proprietary information he may have obtained in connection with his employment with any prior employeremployer other than the Subsidiary or its affiliates.

The Executive represents that (a) he she is entering into this Agreement voluntarily and that his her employment hereunder and compliance with the terms and conditions hereof will not conflict with or result in the breach by him her of any agreement to which he she is a party or by which he she may be bound, (b) he she has not, and in connection with his her employment with the Company will not, violate any non-competition, non-solicitation or other similar covenant or agreement by which he she is or may be bound bound, and (c) in connection with his her employment with the Company he she will not use any confidential or proprietary information he she may have obtained in connection with his employment with any prior employeremployer (other than the Company and its predecessors prior to the Closing).

The Executive represents that (a) he is entering into this Agreement voluntarily and that his employment hereunder and compliance with the terms and conditions hereof will not conflict with or result in the breach by him of any covenant or agreement to which he is a party or by which he may be bound, (b) he has is not, and in connection with his employment with the Company will notnot be, violate in violation of any non-competition, non-solicitation or other similar restriction, covenant or agreement by to which he is or may be bound bound, and (c) in connection with his employment with the Company he will not use any confidential or proprietary information he may have obtained in connection with his employment with or positions he may have held with or services he may have performed on behalf of any prior employeremployer and the Company is employing the Executive in reliance on these representations.

Upon the terms and subject to the conditions of this Agreement, the Company and OpCo hereby agrees to employ the Executive, and the Executive hereby accepts such continued employment with the CompanyCompany and OpCo. The Executive represents that (a) he is entering into this Agreement voluntarily and that his employment hereunder and compliance with the terms and conditions hereof will not conflict with or result in the breach by him of any agreement to which he is a party or by which he may be bound, (b) he has notnot violated, and in connection with his employment with the Company and OpCo will notnot violate, violate any non-competition, non-solicitation or other similar covenant or agreement by which he is or may be bound bound, and (c) in connection with his employment with the Company and OpCo he will not use any confidential or proprietary information he may have obtained in connection with his employment with any prior employer.
