Agreement to Sell and Convey. Seller agrees to sell and convey to Purchaser and Purchaser agrees to purchase from Seller, subject to the terms and conditions set forth below:
Agreement to Sell and Convey. Seller hereby agrees to sell and convey to Purchaser, and Purchaser hereby agrees to purchase from Seller, subject to the terms and conditions hereinafter set forth, (a) that certain real property being described on Exhibit “A” attached hereto and made a part hereof for all purposes, and all rights and appurtenances pertaining thereto including, without limitation, (i) all right, title and interest of Seller in and to adjacent streets, roads, alleys and rights-of-way, and any awards made or to be made in connection therewith, (ii) all rights of Seller in and to all easements appurtenant to or benefiting such parcels of land, (iii) all development rights, air rights, water rights and mineral rights and interests pertaining to such land, (iv) all strips and gores of land lying adjacent to such land (collectively, the “Land”), (b) all buildings, fixtures and improvements located on the Land (collectively, the “Improvements”), (c) all furniture, fixtures, equipment, machines, apparatus, supplies and personal property of every nature and description and all replacements thereof now owned by Seller and located in or on the Land and the Improvements, including, all of the right, tite and interest of Seller in and to any and all intangible personal property related to the Land and the Improvements, including, without limitation, all trade names and trademarks associated with the Land and the Improvements, (collectively, the “Personal Property”), but expressly excluding any personal property of USPS (hereinafter defined), and (d) the Land, the Improvements, the Personal Property, the Lease (as hereinafter defined), the Warranties (as hereinafter defined) and all such other rights, interests and properties are collectively called the “Property”.

Agreement to Sell and Convey. Seller agrees to sell and convey to Buyer, and Buyer agrees to purchase from Seller, that certain real property, being more particularly described under the Highlands County Property Appraiser’s Parcel Number AS IDENTIFIED IN EXHIBIT A, including Seller’s rights in and to all easements, if any, benefiting the land (with the exclusion of any easements which have been dedicated to the public and accepted by the Seller), and all improvements, subject to the terms and conditions set forth in this Agreement, (hereinafter collectively referred to as “Property”. Buyer agrees that Seller shall have sole discretion in determining whether any easements benefiting the land have been dedicated to the public and accepted by the Seller.

(a) Seller hereby agrees to sell and convey to Purchaser and Purchaser hereby agrees to purchase from Seller subject to the terms and conditions hereinafter set forth, that certain land located at 00 Xxxx Xxxxxx Xxxxx and 000 Xxxxxxx Xxxx, Xxxx Xxxxxxx, Xxx Xxxxxx (hereinafter called the “Land”) described in Exhibit “A” attached hereto, together with the buildings and improvements on the Land, all air and development rights, but not including any personal property owned by the Tenant (the “Property”). The Property shall include all right, title and interest, if any, of Seller in and to any land lying in the bed of any street, road, highway or avenue, open or proposed, in front of or adjoining all or any part of the Land and in all strips, gores or rights-of-way, riparian rights and easements.

Seller agrees to sell and convey to Buyer, and Buyer agrees to purchase from Seller, subject to the terms and conditions hereinafter set forth, certain parcels of land lying and being situated in Sumter County, Florida, and being more particularly collectively described under the Sumter County Property Appraiser’s Parcel Number _D28-003 28 Section, 18 Township, 23, Range in Sumter County, Florida. Agreement to Sell and Convey. Seller hereby agrees to sell and convey to Purchaser and Purchaser hereby agrees to purchase from Seller, subject to the terms and conditions hereinafter set forth, all that certain parcel of land lying and being situated acres, more or less, of real property located in the City of Jacksonville Beach, Duval County, Florida, more particularly described on Exhibit A attached hereto and incorporated herein by reference (hereinafter, “the Property”).

b. All and singular the rights and appurtenances pertaining thereto, including any right, title and interest of Seller in and to adjacent streets, roads, alleys, access easements and rights-of-way;
c. All fixtures, equipment and machinery located on, attached to, or used in connection with the buildings and/or other improvements situated thereon, if any;
d. Such other rights, interests, and properties as may be specified in this Agreement to be sold, transferred, assigned or conveyed by Seller to Purchaser. The parcel of land described on Exhibit A, together with the buildings and other improvements thereon, and the rights, interests, fixtures, personal property, and other properties described above, is collectively called the “Premises.”
Agreement to Sell and Convey. Seller agrees to sell and convey to Buyer, and Buyer agrees to purchase from Seller, subject to the terms and conditions hereinafter set forth, a portion of that certain parcel of land, approximately 9 acres, that shall be split off from permanent parcel number 0400003101493 lying and being situated in the County of Lorain, State of Ohio and being more particularly described in Exhibit A (hereinafter referred to as the “Property.”) This sale is subject to approval by Avon City Council.

Seller agrees to sell and convey to Buyer, and Buyer agrees to purchase from Seller, subject to the terms and conditions hereinafter set forth, all of Land, together with (i) any and all improvements that may situate thereon, (ii) all and singular the rights, easements and appurtenances pertaining thereto, (iii) all permits, approvals, entitlements, vested rights, density allocations, authorizations and licenses relating to, benefiting or affecting any such property for the development of approximately five hundred thirty-three residential lots, and (iv) such other rights, interests and properties as may be specified in this Agreement to be sold, transferred, assigned or conveyed by Seller to Buyer. The Land, together with the improvements, rights, interests and other properties described above, are collectively called the “Property.”
