AGREEMENTS PERFORMED. Buyer will have performed all of the obligations under this Agreement to be performed by it at or before the Closing;
AGREEMENTS PERFORMED. Seller shall have performed all of the obligations under this Agreement to be performed by Seller at or before the Closing, and Buyer shall have received a certificate to such effect, executed by the Seller and dated as of the Closing Date;
