Common use of Allocable Amount Clause in Contracts

Allocable Amount. As used in this Agreement, the "Allocable Amount" of any Guarantor, as of any date of determination, shall be determined to be an amount equal to ninety-five percent (95%) of the maximum amount which could then be claimed against such Guarantor without rendering such claim voidable or avoidable under Section 548 of Chapter 11 of the United States Federal Bankruptcy Code (11 U.S.C. Sec. 101 et seq.) or under any applicable state Uniform Fraudulent Transfer Act, Uniform Fraudulent Conveyance Act or similar statute or common law.
