Allocations on Transfer of Interests. All items of income, gain, loss, deduction, and credit allocable to any interest in the Company that may have been transferred shall be allocated between the transferor and the transferee based upon that portion of the calendar year during which each was recognized as owning such interest, without regard to the results of Company operations during any particular portion of such calendar year and without regard to whether cash distributions were made to the transferor or the transferee during such calendar year; however, such allocation shall be made in accordance with a method permissible under section 706 of the Code and the Regulations thereunder.

Allocations on Transfer of Interests. All items of income, gain, loss, deduction, and credit allocable to any interest in the Partnership that may have been transferred shall be allocated between the transferor and the transferee based upon the closing of the books method, unless the transferor and transferee otherwise agree.
Allocations on Transfer of Interests. In the case of a Transfer of any Interests at any time other than the close of the Company’s Fiscal Year, and if such Transfer is required to be recognized under this Agreement, the allocable shares of the various items of Company income, gain, deduction, loss, credit, and allowance, as computed for United States federal income tax purposes, shall be allocated between the transferor and the transferee in either of the following two ways, as determined by the Managing Member: (a) by closing the Company’s books with respect to such transfer as of the date of such transfer, determining such items for such portion of the Fiscal Year of the Company and then allocating such items among the transferor and the other Members of the Company or (b) without then closing the Company’s books with respect to said transfer, but rather closing the Company’s books in the normal course as of the end of the Company’s Fiscal Year, determining such items for the entire Fiscal Year of the Company and then dividing such items into equal portions for each day of the Company’s Fiscal Year, and then allocating such items between the transferor and the transferee based on the number of days during such Fiscal Year of the Company that each was a Member of the Company.
Allocations on Transfer of Interests. In the case of a permitted transfer of any interest in the Venture at any time other than the close of the Venture's Fiscal Year, the allocable shares of the various items of income, gain deduction, loss, credit, and allowance, as computed for United States federal income tax purposes, shall be allocated between the transferor and the transferee by closing the Venture's books with respect to said transfer. In the event any transfer not permitted under the terms of this Agreement is attempted, no allocations shall be made and all distributions shall continue to be made to the purported transferor.

  • Restrictions on Transfers (a) Except as provided in Section 4.8(e), notwithstanding the other provisions of this Article IV, no transfer of any Partnership Interests shall be made if such transfer would (i) violate the then applicable federal or state securities laws or rules and regulations of the Commission, any state securities commission or any other governmental authority with jurisdiction over such transfer, (ii) terminate the existence or qualification of the Partnership under the laws of the jurisdiction of its formation, or (iii) cause the Partnership to be treated as an association taxable as a corporation or otherwise to be taxed as an entity for federal income tax purposes (to the extent not already so treated or taxed). The Partnership may issue stop transfer instructions to any Transfer Agent in order to implement any restriction on transfer contemplated by this Agreement.

Any action attempted to be taken in violation of the preceding sentence will be null and void. Shareholder further agrees to authorize and request Parent and the Company to notify the Company’s transfer agent that there is a stop transfer order with respect to all of the Owned Securities or Beneficially Owned Securities (other than in respect of Transfers expressly permitted by this Section 2.3) and that this Agreement places limits on the voting of the Owned Securities or Beneficially Owned Securities.

If you have a line-of-credit, you agree not to use Online Banking to initiate a transaction that would cause the outstanding balance of your line-of-credit to go above your credit limit. We will not be required to complete such a transaction, but if we do, you agree to pay us the excess amount or improperly withdrawn amount or transferred amount immediately upon our request. We also will refuse to complete your Online Banking transactions if we have canceled your Online Banking access, or we cannot complete the transaction for security reasons. The functions and limitations of Online Banking may be updated, without notice, at the option of the Credit Union in order to provide improved service to the membership.

  • Restrictions on Transfer (a) The Preferred Stock and the Registrable Securities shall not be sold, pledged, or otherwise transferred, and the Company shall not recognize and shall issue stop-transfer instructions to its transfer agent with respect to any such sale, pledge, or transfer, except upon the conditions specified in this Agreement, which conditions are intended to ensure compliance with the provisions of the Securities Act.
