Alternative Targets Clause Samples

The "Alternative Targets" clause defines the conditions under which parties may substitute or designate different objectives, assets, or entities in place of those originally specified in an agreement. In practice, this clause allows for flexibility if the initial target becomes unavailable, impractical, or undesirable, enabling the parties to agree on a suitable alternative that meets similar criteria or value. Its core function is to ensure the continuity and adaptability of the agreement, reducing the risk of failure or deadlock if the original target cannot be achieved.
Alternative Targets. In the event any Proposed Target is determined by the Third Party Target Reviewer to be an Excluded Target in accordance with Section 2.10.2(c) or, if applicable, Section 2.10.2(e), Genentech shall have the right to nominate another Proposed Target in lieu of such Proposed Target within the Expansion/Substitution Period to be included as an Exclusive Target under this Agreement pursuant to Section 2.8 or this Section 2.10.2 above, as relevant, and such alternative Proposed Target shall be accepted or rejected in accordance with Section 2.10.2(c) or, if applicable, Section 2.10.2(e).
Alternative Targets. At any time before [*], Licensee shall have the right to replace an existing Selected Target with another Target, subject to the same terms applicable to the selection of additional Selected Targets in Section 2.4, above. Any such replacement shall be effective upon Licensee’s provision of written notice to Licensor, subject to the availability of such Target and any applicable notice or waiting periods set forth in Section 2.4. Upon such exchange the newly identified Target shall be deemed a Selected Target and the Selected Target for which it was exchanged shall no longer be a Target or a Selected Target and all rights related thereto shall revert to Licensor.
Alternative Targets. BMS, through the JSMC, shall have the option to propose changing Targets, subject to mutual agreement of both Parties.
