Amend to Articles of Incorporation and Capitalization. Promptly after the Closing Date, Acquiror will amend its Articles of Incorporation to change its corporate name, domicile, and capitalization in a manner satisfactory to Target, which change in capitalization shall include corporate authority to issue Preferred classes of stock including terms as further set forth in Schedule attached to and made a part of this Agreement or otherwise advised by Target (including the Acquiror Preferred Shares as provided for in this Agreement), change in name shall be to Loretta Foods and/or derivations thereof directed by Target, and chanxx xx xomicile shall be to a National Corporation with a registered address in Ontario, all subject to such exceptions as are advised by Target, and toward such end Acquiror shall at or prior to Closing execute an amendment to its Articles of Incorporation, and obtain the requisite director and shareholder approval for such, in the form acceptable to Target, which in principal part be as set forth as Schedule D attached to and made a part of this Agreement..
