Amendment of Schedule 3. 2(f). Schedule 3.2(f) of the Program Agreement is hereby amended by deleting it in its entirety and replacing it with the new Schedule 3.2(f), attached hereto.
Amendment of Schedule 3. 10. Schedule 3.10 to the Purchase Agreement is hereby deleted in its entirety and replaced with the attached Annex C.
Amendment of Schedule 3. 1. In the event of the admission of any transferee or Assignee as a Member of the Company, the Board of Managers will promptly amend Schedule 3.1 to reflect such Transfer or admission, as the case may be.
Amendment of Schedule 3. 04. Commencing as of the First Amendment Effective Date, Schedule 3.04 of the Operating Agreement is hereby deleted in its entirety.
Amendment of Schedule 3. 3. Schedule 3.3 to the SPA is hereby amended to delete in its entirety item number 6 of Schedule 3.3.
Amendment of Schedule 3. 7. Schedule 3.7 to the SPA is hereby amended to add the contracts set forth on Schedule 3.7A attached hereto.
Amendment of Schedule 3. 2(g). Schedule 3.2(g) is amended by adding the following new subparagraph (xi):
Amendment of Schedule 3. 1. Any Grantor may at any time unilaterally amend any schedule delivered under Section 3.1 in any respect required by the occurrence of any event that does not constitute or give rise to a Default, by giving written notice thereof to Secured Party. To be effective, such notice must state conspicuously that it constitutes an amendment to certain factual matters relating to the Collateral set forth in Section 3.1 of this Agreement.
Amendment of Schedule 3. 3. As of the Amendment and Restatement Effective Date, Schedule 3.3 to the Mezzanine Credit Agreement is hereby amended and restated in its entirety, in the form attached hereto as Exhibit A.
