Amendment to Section 7.01. Section 7.01 of the Credit Agreement is hereby amended by (i) deleting the “and” at the end of clause (p) thereof, (ii) replacing the period at the end of clause (q) thereof with “; and” and (iii) adding the following new clause (r) to such section:
Amendment to Section 7.01. Section 7.01(q) is hereby amended and restated in its entirety to read in full as follows:
Amendment to Section 7.01. Section 7.01 of the Agreement is hereby amended to add the following clause (e):
Amendment to Section 7.01. Section 7.01 of the Existing Guarantee and Security Agreement is hereby amended as follows:
(a) Clause (a) of Section 7.01 of the Existing Guarantee and Security Agreement is hereby amended by replacing the text “since the date hereof” where it appears therein with the text “since the First Amendment Effective Date” in its place.
(b) Clause (d) of Section 7.01 of the Existing Guarantee and Security Agreement is hereby amended by replacing the text “since the date hereof” where it appears therein with the text “since the First Amendment Effective Date” in its place.
Amendment to Section 7.01. Section 7.01 of the Credit Agreement shall be amended by deleting the “and” following clause (h) thereof, deleting the “.” following clause (i) thereof and replacing it with “; and” and adding the following clause (j) thereto: ”(j) Indebtedness of the Parent or any of its Subsidiaries incurred solely in connection with the UBS Demand Line in an aggregate principal amount not to exceed $76,500,000.”
Amendment to Section 7.01. Section 7.01 of the Credit Agreement is hereby amended as follows:
(a) deleting in clause (d) each reference to “2019 Replacement Term Loan Facility” and substituting in lieu thereof a reference to “2024 Replacement Term Loan Facility”;
(b) deleting in clause (f) each reference to “2019 Replacement Term Loan Facility” and substituting in lieu thereof a reference to “2024 Replacement Term Loan Facility”; and
(c) deleting in the final paragraph thereof the words “2019 Replacement Term Loan Facility” and substituting in lieu thereof the words “2024 Replacement Term Loan Facility”.
Amendment to Section 7.01. Section 7.01 of the Merger Agreement is hereby amended by adding the following new paragraph (g) at the end of Section 7.01:
Amendment to Section 7.01. Section 7.01 of the Merger Agreement is hereby amended by replacing the references to “Company Stockholder Approval” in the first sentence of Section 7.01, Section 7.01(b)(iii) and Section 7.01(f) with “Requisite Stockholder Approvals.”
Amendment to Section 7.01. Section 7.01 of the Credit Agreement is hereby amended to restate clause (g) thereof in its entirety as follows:
Amendment to Section 7.01. Section 7.01 is amended by replacing the text of clause (j) with "[RESERVED]".
