Amendment to Section 8.2 of the Agreement. Section 8.2 of the Agreement is hereby amended to (a) delete the following language commencing on the twelfth line of such Section: “shall have failed to satisfy the Minimum Purchase Requirements as set forth on Exhibit A hereto in any given Period” and (b) replace such deleted language with the following language: “shall have failed to satisfy the **** Minimum **** Targets set forth on Exhibit A hereto and any **** Minimum **** Targets for **** periods during the period commencing **** and ending ****.”
