Amendments to Appendix A to Add Definitions. Appendix A to the Financing and Security Agreement is amended to add each of the following definitions, in alphabetical order: Adjusted Net Earnings From Operations – with respect to any fiscal period, means the net earnings (or loss) after provision for income taxes for such fiscal period of Borrowers, as reflected on the financial statement of Borrowers supplied to Agent pursuant to Section 8.1.3 of the Agreement, but excluding the net earnings (or loss) for Bakor and excluding from the net earnings (or loss) for Borrowers:
