Amendments to Reimbursement Agreement. The Reimbursement Agreement is amended as follows:
Amendments to Reimbursement Agreement. Upon the satisfaction of the conditions precedent set forth in Section II of this Amendment, the Reimbursement Agreement (including the Schedules and Exhibits thereto to the extent included in Annex A) is hereby amended to incorporate the changes shown on the marked copy of the Reimbursement Agreement attached hereto as Annex A (it being understood that language which appears “struck out” has been deleted and language which appears as “double-underlined” has been added).
Amendments to Reimbursement Agreement. Effective as of the date hereof, but subject to the occurrence of the satisfaction of the conditions in Article III, the provisions of the Existing Reimbursement Agreement referred to below are hereby amended in accordance with this Article II. Except as expressly so amended, the Existing Reimbursement Agreement shall continue in full force and effect in accordance with its terms.

After the Effective Date, the Reimbursement Agreement is amended as follows: The first two sentences of Section 4.02(b) of the Reimbursement Agreement are amended to read as follows: "Permit or suffer the breach of any covenant or agreement contained in Article VI of the Third Amended and Restated Credit Agreement and Amendment to Reimbursement Agreement among the Company and Bank One, NA, dated as of December 1, 2003 (as amended or modified from time to time, the "Credit Agreement"). All such provisions of Article VI, including definitions of defined terms used therein and exhibits referred to therein, are incorporated by reference and made a part of this Agreement to the same extent as if set forth fully herein, except that all cross references shall refer to the relevant provision or provisions as incorporated herein."
