Amendments to Section 10: Miscellaneous. (Successors and Assigns; Participations) of the Credit Agreement is hereby amended as follows:
Amendments to Section 10: Miscellaneous. (a) Section 10.1 of the Credit Agreement is hereby amended to change each reference therein to “Section 7.1” to read instead “Section 7.10”.
(b) Section 10.2 of the Credit Agreement is hereby amended to add to the notice address for each of Holdings and the Borrower a required copy addressed as follows: Fidelity National Information Services, Inc. 000 Xxxxxxxxx Xxxxxx Xxxxxxxxxxxx, XX 00000 Attention: Xxxxxx X. Amendments to Section 10: Miscellaneous. A. Subsection 10.1 of the Credit Agreement is hereby amended by deleting the references to ‘Working Capital Lender’ each time such phrase appears therein and substituting the phrase ‘Revolving Lender’ in lieu thereof, by deleting the references to ‘Working Capital Loan Commitment’ each time such phrase appears therein and substituting the phrase ‘Revolving Loan Commitment’ in lieu thereof and by deleting the references to ‘Working Capital Loans’ each time such phrase appears therein and substituting the phrase ‘Revolving Loans’ in lieu thereof.
B. Subsection 10.1B(i) of the Credit Agreement hereby amended by deleting references to ‘Exhibit VI’ and ‘or Exhibit VIII’ and adding ‘Exhibit XXXI, Exhibit XXXII or Exhibit XXXIII’ after the phrase ‘Exhibit VII’ in the last sentence thereof.
Amendments to Section 10: Miscellaneous. A. Subsection 10.1B (i) is hereby amended by (i) replacing the defined term "Tranche B Term Loans" with the term "Tranche C Term Loans", and (ii) adding the phrase "or Exhibit B to the Second Amendment" immediately following the phrase "Exhibit IV-B, Exhibit V, or Exhibit VI annexed hereto" in the last sentence thereof.
Amendments to Section 10: Miscellaneous. 1B(i) of the Credit Agreement is hereby amended (i) by inserting the text “or Exhibit XV” immediately following the text “Exhibit V” and (ii) by inserting the text “and/or outstanding Tranche C Term Loans” immediately following the text “and/or outstanding Tranche B Term Loans”.
Amendments to Section 10: Miscellaneous. (d) of the Credit Agreement is hereby amended by deleting the "." at the end thereto and adding the following: "or of Section 2.25 as it relates to the Incremental Tranche C Term Loan Syndication Agent, in each case without the consent of such Agent."
Amendments to Section 10: Miscellaneous. (a) Section 10.5(a) of the Credit Agreement is hereby amended by deleting the last sentence thereof.
Amendments to Section 10: Miscellaneous. A. Subsection 10.1A of the Credit Agreement is hereby amended by deleting the third sentence of such subsection in its entirety and inserting in lieu thereof the following text: "No sale, assignment or transfer or participation of any Revolving Letter of Credit, LC Facility Letter of Credit or Synthetic Letter of Credit, as the case may be, or any participation therein may be made separately from a sale, assignment, transfer or participation of a corresponding interest in the Revolving Loan Commitment and the Revolving Loans of the Revolving Lenders or in the LC Facility Commitment and the LC Facility Loans of the LC Facility Lenders or in the Synthetic Letter of Credit Commitment and the Synthetic Letter of Credit Loans of the Synthetic Letter of Credit Lenders, as the case may be, effecting such sale, assignment, transfer or participation.".
B. Subsection 10.1B(i)(a) of the Credit Agreement is hereby amended (i) by inserting the text "or Synthetic Letter of Credit Exposure" immediately following the text "or LC Facility Exposure" and (ii) by inserting the text "or Synthetic Letter of Credit Loan" immediately following the text "LC Facility Loan".
C. Subsection 10.1B(i)(e) of the Credit Agreement is hereby amended by deleting such subsection in its entirety and inserting in lieu thereof the following text:
(1) in the case of an assignment of all or a portion of an LC Facility Commitment of any Lender, Administrative Agent and each LC Facility Issuing Lender shall have given their prior written consent to such assignment and (2) in the case of an assignment of all or a portion of a Synthetic Letter of Credit Commitment of any Lender, Administrative Agent and each Synthetic Letter of Credit Issuing Lender shall have given their prior written consent to such assignment, and".
D. Subsection 10.1B(i) of the Credit Agreement is hereby further amended by deleting the second to last sentence contained therein in its entirety and inserting in lieu thereof the following text: "The assigning Lender shall, upon the effectiveness of such assignment or as promptly thereafter as practicable, surrender its Notes, if any, to Administrative Agent for cancellation, and thereupon new Notes shall, if so requested by the assignee and/or the assigning Lender in accordance with subsection 2.1E, be issued to the assignee and/or to the assigning Lender, substantially in the form of Exhibit IV, Exhibit V, Exhibit VI, Exhibit VIII, or Exhibit VIII-A annexed hereto, as the case may b...
Amendments to Section 10: Miscellaneous. Section 10 of the Credit Agreement is hereby amended as follows:
(a) Amending subsection 10.1 (Amendments and Waivers) by (i) adding the phrase "or any scheduled installment thereof" after the phrase "maturity date of any Note" in clause (a)(i) of said subsection and (ii) adding at the end of clause (a) of said subsection the phrase "or (iii) amend, modify or waive any provision of subsection 2.8
