Commitment Shares definition

Commitment Shares shall have the meaning set forth in Section 12.04.

Commitment Shares means 55,000 shares of duly authorized, validly issued, fully paid and nonassessable shares of Common Stock which, concurrently with the execution and delivery of this Agreement on the Closing Date, the Company has caused its transfer agent to issue and deliver to the Investor not later than 4:00 p.m. (New York City time) on the second Trading Day immediately following the Closing Date.

Commitment Shares shall have the meaning set forth in Section 9.10(i).

Examples of Commitment Shares in a sentence

• The Commitment Shares, when issued in accordance with the terms of this Agreement will be validly issued, fully paid and non-assessable and free from all taxes, liens and charges with respect to the issuance thereof.

• All of such outstanding shares of capital stock of the Company, the Conversion Shares, the Warrant Shares, and Commitment Shares are, or upon issuance, will be duly authorized, validly issued, fully paid and non-assessable.

• All of the Conversion Shares, Warrant Shares, and Commitment Shares shall be deemed “Registrable Securities” subject to the provisions of this Exhibit B.

• Pursuant to the Purchase Agreement, the Company also has entered into a Registration Rights Agreement, of even date with the Purchase Agreement with the Investor (the “Registration Rights Agreement”) pursuant to which the Company agreed, among other things, to register the Conversion Shares, Warrant Shares, and Commitment Shares under the Securities Act of 1933, as amended (the “Securities Act”).

• As consideration for entering into this Agreement, on the date of the initial Closing the Company shall issue to the Lead Investor the Commitment Shares, which will be deemed fully earned on such date as such fee is paid and such Commitment Shares are issued.

More Definitions of Commitment Shares

Commitment Shares means the Initial Commitment Shares and the Additional Commitment Shares.

Commitment Shares shall have the meaning ascribed to it in the Investment Agreement.

Commitment Shares means the shares of Common Stock to be issued by the Company to the Purchaser pursuant to Section 2.1(d).

Commitment Shares has the meaning set forth in Section 5(e).

Commitment Shares means the 110,000 shares of the Restricted Company’s common stock as a commitment fee hereunder, issued to the Investor or Investor’s designee.
