AMENDMENTS, VARIATION AND WAIVER. (a) Any amendment, modification or variation to this Agreement requires the prior written consent of the GIC Provider and subject to Section 8.02 of the Security Agreement, any amendment, modification or variation to this Agreement or waiver of rights under this Agreement will also require the prior written consent of each other party to this Agreement.
