American Stock Exchange. The Company will use its best efforts to effect and maintain the listing of the Securities on the AMEX.
American Stock Exchange. The Company will use best efforts to effect and maintain a listing of the Units and the Common Stock and Warrants underlying the Units on the American Stock Exchange until the consummation of a Business Combination.
American Stock Exchange. The Buyer's common stock shall be listed and trading on the American Stock Exchange and shall not be subject to any trading halt, suspension, or pending de-listing procedures.

Parent shall use its reasonable best efforts to cause the shares of Parent Common Stock issuable to the stockholders of the Company in the Merger (including the shares of Parent Common Stock reserved for issuance with respect to Company Stock Options and warrants) to be eligible for listing on the American Stock Exchange (or other national market or exchange on which Parent Common Stock is then traded or quoted) prior to the Effective Time.

American Stock Exchange. RCBA and Purchaser shall have received satisfactory assurance from the American Stock Exchange (the "Exchange"), in a form reasonably satisfactory to RCBA and Purchaser, that:
(a) upon ratification within one year hereof of the sale of Shares described in this Agreement by shareholders of Seller (including holders of the Shares) in accordance with the rules of the Exchange, all Common Stock into which the shares are convertible will be eligible for listing on the Exchange upon such conversion; and
(b) consummation of the transaction will not cause any securities of the Seller already listed on the American Stock Exchange to lose their listing privileges.
American Stock Exchange. Seller shall have received satisfactory assurance from the American Stock Exchange (the "Exchange"), in a form reasonably satisfactory to Seller, that consummation of the transaction will not cause Seller or any securities of the Seller already listed on the American Stock Exchange to lose their listing privileges.
American Stock Exchange. The Company's Common Stock is listed on the American Stock Exchange, and there are no proceedings to suspend or revoke such listing.
