Amount Purchased; Limitation. Subscriber agrees to purchase partial capacity from the Solar Facility of a minimum of one (1) unit equaling 205 xxxxx of capacity (“Subscription Unit”), up to a maximum number of units whose estimated annual energy production capacity in combination with Subscriber’s other distributed generation resources (if any) is not more than 90% of Subscriber’s kWh energy purchases over the previous year. The Cooperative agrees to provide Subscriber with monthly Solar Credits as set forth in Article IV, based on the number of Subscription Units purchased multiplied by 205 xxxxx (“Subscriber’s Allocated Capacity”).

Amount Purchased; Limitation. Subscriber agrees to purchase partial capacity from the Solar Facility of a minimum of one (1) unit equaling 315 xxxxx of capacity (“Subscription Unit”), and a maximum of 10 Units or the number of Units whose total capacity, together with the nameplate capacity of distributed generation under any other cooperative program, will result in estimated annual energy production of not more than 50% of Subscriber’s average annual kWh energy purchases from the Cooperative (“Maximum Capacity”). The Cooperative may, but shall not be required to allow a Subscriber who 1) owns and operates a Cooperative approved electric vehicle where such vehicle is ordinarily charged at the Subscribers residence, provided the Subscribers residence is receiving electric service from Cooperative and no other distributed generation facility provides service to the residence, and 2) the Subscriber participates in Cooperative prescribed load management programs, to purchase up to two (2) additional subscriptions, hereinafter known as “Additional Subscriptions”. Any Subscriber who, 1) does not continue to own and operate a Cooperative approved electric vehicle where such vehicle is ordinarily charged at the Subscribers residence, and such residence is receiving electric service from Cooperative, or 2) is served by another distributed generation facility, or 3) the Subscriber no longer participates in Cooperative prescribed load management programs shall be required to sell the Additional Subscriptions back to the Cooperative under the provisions of Article V of this agreement. The Cooperative agrees to provide Subscriber with monthly Solar Credits as set forth in Article IV, based on the number of Subscription Units purchased multiplied by 315 xxxxx (“Subscriber’s Allocated Capacity”).

  • Aggregate Purchase Price (a) The aggregate cash amount to be paid by the Purchaser at the Closing shall be Three Hundred Twenty Million Dollars ($320,000,000) minus the sum of (A) the amount of Net Debt, (B) the aggregate amount of all Seller Transaction Expenses to the extent not paid prior to the Closing Date that are due and payable on the Closing Date and (C) the aggregate Stock Option Adjustment Amounts (the "Preliminary Purchase Price"); provided, however, one and one-half percent (1.5%) of the sum of (x) the Preliminary Purchase Price plus (y) the aggregate Stock Option Adjustment Amounts (together, the "Escrow Amount") shall be delivered to an escrow agent (which escrow agent shall be a bank or trust company with a branch located in the City of New York) appointed prior to the Closing by the Stockholders Representative, subject to approval by the Purchaser, which approval shall not be unreasonably withheld or delayed, pursuant to an Escrow Agreement (the "Escrow Agreement") to be entered into by the Purchaser, the Stockholders Representative and the Escrow Agent. Such Escrow Amount shall be held and disbursed by the escrow agent in accordance with the terms and conditions in this Article II and in the Escrow Agreement. Prior to the Closing, the Stockholder Representative shall prepare a schedule (based upon the respective amounts payable to each Seller net of any amount payable by such Seller hereunder, but assuming that individually and in the aggregate each holder of Rollover Options held a like number of Options that were not Rollover Options in lieu of the Rollover Options so held) setting forth the respective percentages of the aggregate Escrow Amount applicable to each Seller, which schedule shall be utilized to determine any distributions to Sellers from the Escrow Amount or any other adjustments to the Purchase Price and corresponding payments to or by the Sellers (the "Pro Rata Amount"). (b) As used herein, the "Net Working Capital Adjustment Amount" shall be the difference between the final Net Working Capital amount as set forth in the Final Statement minus the Target. In accordance with Sections 2.7 and 2.8, the Preliminary Purchase Price shall be (1) increased by the Net Working Capital Adjustment Amount, if the Net Working Capital Adjustment Amount is a positive integral, or (2) decreased by the Net Working Capital Adjustment Amount, if the Net Working Capital Adjustment Amount is a negative integral. The Preliminary Purchase Price as so adjusted shall constitute the "Purchase Price."

  • Amount of Purchase Price The purchase price (“Purchase Price”) per Share for each Share which Optionee is entitled to purchase under the Options shall be $2.25 per Share.

  • Receivables Purchase Price On the Closing Date, the Purchaser shall deliver to the Seller the Receivables Purchase Price, as provided in Section 2.1(b).

  • Maximum Amount Payable The maximum amount payable under this contract without modification is shown in Attachment E, Fee Schedule. Payment under this contract beyond the end of the current fiscal biennium is subject to availability of appropriated funds.   • Designation of Additional Amounts to Be Included in the Excess Spread Amount for the DiscoverSeries Notes At any time that any outstanding Series of certificates issued by the Master Trust provides that the Series Principal Collections allocated to such Series will be deposited into the Group Finance Charge Collections Reallocation Account for the Master Trust to the extent necessary for application to cover shortfalls for other Series issued by the Master Trust, an amount equal to (x) all Series Principal Collections allocated to such Series, multiplied by (y) a fraction, the numerator of which is the sum of the Nominal Liquidation Amounts for each outstanding Tranche of the DiscoverSeries Notes (including these notes) and the denominator of which is (i) the Aggregate Investor Interest for the Master Trust minus (ii) the sum of the Series Investor Interests for all such Series that provide that the Series Principal Collections allocated to such Series will be so deposited, is hereby designated to be included in the Excess Spread Amount and shall be treated as Series Finance Charge Amounts for the DiscoverSeries.

  • Reallocation to a Class with a Lower Salary Range Maximum 1. If the employee meets the skills and abilities requirements of the position and chooses to remain in the reallocated position, the employee retains the existing appointment status and has the right to be placed on the Employer’s internal layoff list for the classification occupied prior to the reallocation. 2. If the employee chooses to vacate the position or does not meet the skills and abilities requirements of the position, the layoff procedure specified in Article 31 of this Agreement applies.

  • Closing Purchase Price Buyer shall have delivered the Closing Purchase Price in accordance with Section 2.5.

  • Designation Amount and Issue of Notes The Notes shall be designated as “Tranche A Zero Coupon Guaranteed Senior Unsecured Convertible Notes”.   • Payment of Receivables Purchase Price In consideration of the sale of the Receivables from the Seller to the Purchaser as provided in Section 2.1, on the Closing Date the Purchaser shall have paid to the Seller the Receivables Purchase Price.
