The Board shall adopt by two-thirds vote a business plan and annual operating budget for the Company (or an updates to the plan or budget) which plan and budget shall be presented to the Board for approval prior to the start of each Fiscal Year and which the Board shall seek to adopt prior to the start of each Fiscal Year.
