Annual Determination of Fees. The Surface Damages in effect for the period beginning on the Effective Date and ending on December 31, 2022 are set forth on Schedule 2.3. Not later than December 31 of each year, the Company shall determine, in its reasonable discretion and with reference to market-based surface damages in the immediate vicinity of the North Ranch, the applicable Surface Damages for all Leases and Easements that are executed in the immediately succeeding calendar year and shall provide notice to Operator thereof. If the Company does not make this determination and provide notice to Operator thereof in accordance with this section, the then-current Surface Damages shall continue in effect.

Annual Determination of Fees. HSBC Bank shall annually make a determination of the Initial Fees, which shall include, but not be limited to, the Refund Account Fee and the RAL Fee. HSBC Bank shall provide a Schedule of Initial Fees to Block Services, or an Affiliate designated by it, for review and comment, no later than August 15 of each year during the Term of this Retail Distribution Agreement. After reviewing any comments submitted by Block Services, or an Affiliate designated by it, with respect to the Initial Fees, HSBC Bank shall establish the Final Fees, no later than September 15 of each year during the Term of this Retail Distribution Agreement and shall provide copies of the Schedule of Final Fees to Block Services or an Affiliate designated by it, to be attached as Schedule 9.3 to this Retail Distribution Agreement.
