Common use of Annual Equity Awards Clause in Contracts

Annual Equity Awards. Executive shall be eligible to be granted equity awards under the Company’s annual equity incentive award program in effect for other senior executives of the Company. The terms and conditions of such equity awards (including, without limitation, the form of award(s), the number of shares covered by such awards, the vesting schedule, performance conditions, restrictive provisions, etc.) shall be determined by the Compensation Committee of the Board in its sole discretion.

Annual Equity Awards. Executive shall will be eligible to be granted for annual equity awards under the Company’s equity incentive plan on a basis that is not less favorable than the annual equity incentive award program in effect for awards being made generally to other senior executives of the Company. The terms and conditions of such equity awards (including, without limitation, the form of award(s), the number of shares covered by such awards, the vesting schedule, performance conditions, restrictive provisions, etc.) shall be determined by the Compensation Committee of the Board in its sole discretion.

Beginning with the 2020 fiscal year, Executive shall be eligible to be granted equity awards under the Company’s annual equity incentive award program in effect for other senior executives of the Company. The terms and conditions of such equity awards (including, without limitation, the form of award(s), the number of shares covered by such awards, the vesting schedule, performance conditions, restrictive provisions, etc.) shall be determined by the Compensation Committee of the Board in its sole discretion.

Executive shall will be eligible to be granted for annual equity awards under the Company’s equity incentive plan at valuation levels and on vesting and other terms and conditions that are not less favorable than the annual equity incentive award program in effect for awards being made generally to other senior executives of the Company. The terms and conditions of such equity , taking into consideration the awards (including, without limitation, the form of award(s), the number of shares covered by such awards, the vesting schedule, performance conditions, restrictive provisions, etcmade under section 2.3.) shall be determined by the Compensation Committee of the Board in its sole discretion.
