Annual Research Plan. The Annual Research Plan for the first Commitment Year is described in the attached Exhibit A. For each Commitment year after the first, the Annual Research Plan shall be prepared by the Research Committee for submission to and approval by Pfizer and Myco no later than [*******] days before the end of the prior Commitment Year. Each new Annual Research Plan for each succeeding Commitment Year shall be appended to Exhibit A and made part of this Agreement.
Annual Research Plan. The Research Project will be conducted under an Annual Research Plan which describes the work to be pursued by SIGNAL and DPM during the Research Year. The first Annual Research Plan shall be prepared by the RMC within forty-five (45) days after the Effective Date. Subsequent Annual Research Plans shall be prepared by the RMC, not later than sixty (60) days prior to the start of each Research Year. The Annual Research Plan shall outline the work on the Research Project proposed to be carried out during the subsequent Research Year and the number of FTEs to be assigned to such work.
Annual Research Plan. The Research Program shall be conducted in each Contract Year in accordance with the Annual Research Plan for such Contract Year. The adoption and modification of the Annual Research Plan shall be the responsibility of the JRC as set forth in Section 3.2. The Annual Research Plan for the period August 17, 2001 to December 31, 2002 is attached hereto as Exhibit 2.2.
Annual Research Plan. Each approved Research Program shall be conducted under an Annual Research Plan that describes the work to be pursued by the Parties during each calendar year. The first Annual Research Plan describing the expenses and activities anticipated for the then-current calendar year shall be developed by the Joint Steering Committee no later than sixty (60) days after the first Research Program has been approved. Thereafter, the
Annual Research Plan. The JRC shall prepare and approve the Annual Research Plan for first Contract Year within [***] days of the Effective Date. Thereafter the JRC shall prepare and approve the Annual Research Plan for each Contract Year during the Research Term (other than the First Contract Year) at least [***] days prior to the commencement of such Contract Year. At EYETECH’s request, the JRC shall include in the Annual Research Plan a plan to discover and develop Compounds against the Targets PDGF and VEGF, so long as the Parties obtain any necessary rights covering VEGF from Gilead. In the event the JRC fails to approve an Annual Research Plan due to a dispute over the contents of such Annual Research Plan, each Party shall have the right to refer such dispute to resolution pursuant to Section 11.2. Confidential Portions of this Exhibit were omitted and have been filed separately with the Secretary of the Commission pursuant to the Company’s application requesting confidential treatment under Rule 406 of the Securities Act.
Annual Research Plan. 2.7.1 The Joint Scientific Committee shall prepare and the Joint Management Committee shall approve the Annual Research Plan for every Contract Year (other than the First Contract Year) at least [**] prior to the commencement of such Contract Year. The Annual Research Plan for the First Contract Year shall be prepared by the Joint Scientific Committee and approved by the Joint Management Committee within [**] after the Effective Date.
2.7.2 The Joint Management Committee shall update and amend, as appropriate, the then-current Annual Research Plan from time to time.
Annual Research Plan. 2.6.1 The Joint Research Committee shall prepare and approve the Annual Research Plan for every Contract Year (other than the First Contract Year) at least sixty (60) days prior to the commencement of such Contract Year. The Annual Research Plan for the First Contract Year is set forth in Exhibit A to this Agreement.
2.6.2 The Joint Research Committee shall update and amend, as appropriate, the then-current Annual Research Plan from time to time.
Annual Research Plan. For the first year of the Research Term, commencing on the Effective Date, the Steering Committee will discuss and prepare an Annual Research Plan for each Research Program and will finalize an Annual Research Plan for each Research Program on or prior to thirty (30) days after the Effective Date. Thereafter, during the Research Term, the Steering Committee shall (i) commencing not less than three (3) months prior to each anniversary of the Effective Date, discuss and prepare an Annual Research Plan for each Research Program for the upcoming contract year, and (ii) prior to each anniversary of the Effective Date during the Research Term, finalize an Annual Research Plan for each Research Program for the upcoming year of the Research Term. Each Annual Research Plan may be amended from time to time upon Steering Committee approval. Each Annual Research Plan, and any amendment thereto, shall be signed and dated by a representative of each Party on the Steering Committee.

2.6.2 The Joint Research Committee shall update and amend, as appropriate, the then current Annual Research Plan from time to time.
2.6.3 Each Annual Research Plan shall contain the specific research objectives to be achieved during the Contract Year, the specific activities to be performed under the Research Program and the timeline for performing such activities, the [***]and [***]of [***]and Approved Subcontractors required to perform such activities, a detailed budget for performing such activities and the Party which shall be responsible for performing each of the activities.
2.6.4 Each Annual Research Plan shall be consistent with the other terms and conditions of this Agreement, including the objectives set forth in Section 2.1.1, and shall be in substantially the same form, including the items itemized in, the Annual Research Plan attached as Exhibit A, except that it shall include a budget.
