Collaborative Research Program. As from the Effective Date, ADDEX and OMP, by themselves or through their Affiliates or on behalf of OMP by Xxxxxxx & Xxxxxxx Pharmaceutical Research and Development, a division of XXXXXXX Pharmaceutica N.V., will each conduct their part of the Research, in accordance with the Research Program, on a collaborative basis with a goal of discovering, identifying and synthesizing Collaboration Compounds that are suitable for development into Collaboration Products. To facilitate the Research ADDEX will transfer within [***] calendar days of the Effective Date to OMP any cells, cell-lines, research tools or materials necessary performing the screening assays described in Appendix B. The initial Research Program shall be mutually agreed upon between the Parties and attached hereto as Appendix A. Parties acknowledge that the initial primary focus of the Research Program is to identify Collaboration Compounds with potential for treatment or prevention of diseases and disabilities related to the central nervous system. However Parties equally acknowledge that mGlu2-R may play an important role with respect to other diseases and disabilities than those related to the central nervous system. Collaborative Research Program. 4.1 The parties shall, within [*] days from the Effective Date negotiate in good faith a collaborative research program agreement.
Collaborative Research Program. 2.1.1 Purpose Myco and Pfizer shall conduct the Research Program throughout the Contract Period. The objective of the Research Program is to discover and develop Products.

Warner and Sequana will diligently conduct mutually agreed collaborative research in the Field pursuant to a Research Plan (the "Research Program"). The activities conducted in connection with the Research Program will be overseen and administered by the JRPC.

Subject to the terms and conditions set forth herein, Microcide and EpiGenix will diligently conduct collaborative research in the Field pursuant to the Research Plan (the "Research Program"). The activities conducted in connection with the Research Program will be established, overseen and administered by the JRC. The Research Program will consist of research in the Field to: (i) develop screening assays for Initial Targets to identify Collaboration Compounds based on such assays to discover Lead Compounds; (ii) discover novel antiviral targets (New Targets) for potential inclusion in the Research Plan to discover Collaboration Compounds and (iii) to apply EpiGenix Surrogate Genetics technology to the development of assays for Microcide Targets for [ * ] drug discovery. EpiGenix shall primarily be responsible for developing assays to be used for screening against specific targets and for performing high throughput screening and evaluation of potential Lead Compounds. EpiGenix will promptly report to Microcide any significant assays it develops with respect to any Initial Target or Microcide Target. Collaborative Research Program. 5.1 Research Program Objectives
Collaborative Research Program. Commencing on the Effective Date, the Parties shall conduct the Research diligently on a collaborative basis, with the goal of discovering, identifying and performing pre-clinical research on Collaboration Compounds that are suitable for developing as Collaboration Products for commercialization as soon as reasonably practicable. The Parties shall conduct the Research as generally specified in the Research Plan, attached hereto as Exhibit A, as such plan may be amended from time to time by the JRC. The Research Plan, among other things, shall specify scientific direction and Research milestones and allocate Research responsibilities and resources in a manner consistent with this Agreement.
Collaborative Research Program. 2.1 OSI/Bayer Annual Operating Plan and Budget. The OSI/Bayer Annual Operating Plan and Budget for the initial Commitment Year is set forth in Exhibit B and attached hereto. For each Commitment Year after the initial Commitment Year, the OSI/Bayer Annual Operating Plan and Budget shall be prepared by the Joint Management Committee no later than ninety (90) days before the end of the prior Commitment Year. The OSI/Bayer Annual Operating Plan and Budget for each Commitment Year shall be appended to and made part of this Agreement.
